About the Role
We are seeking an experienced Legal Counsel & Company Secretary to join a fast-paced telecommunications business with operations across multiple international markets.
The role will provide legal, corporate governance and company secretarial support across the Group, working closely with senior management, Board members, finance, regulatory, commercial and operational teams.
The successful candidate will combine strong commercial legal capability with practical experience managing the governance and statutory requirements of a complex, multi-entity international organisation. Experience within telecommunications, technology, digital services or another highly regulated international sector is strongly preferred.
Key Responsibilities
Legal & Commercial
- Provide practical legal advice to the Group and its international operating companies.
- Draft, review and negotiate a broad range of commercial agreements, including:
- Telecom and technology agreements
- Supplier and vendor contracts
- Distribution and channel agreements
- Customer and enterprise agreements
- IT, software, SaaS and technology agreements
- Outsourcing and managed-service agreements
- NDAs, consultancy and professional-services agreements
- Advise business teams on contractual risk, liability, indemnities, termination rights and commercial obligations.
- Support negotiations with major suppliers, partners, operators and other third parties.
- Work with regulatory and compliance teams on matters affecting telecommunications operations across different jurisdictions.
- Support the management of disputes, litigation and external legal advisers where required.
- Provide legal input into new market entry, corporate projects, restructurings, acquisitions and other strategic initiatives.
- Ensure appropriate legal controls, policies and contracting processes are maintained across the Group.
Company Secretarial & Corporate Governance
- Act as a key point of contact for company secretarial and corporate governance matters across the Group.
- Maintain oversight of the Group's legal entity structure across multiple jurisdictions.
- Manage statutory registers, corporate records and governance documentation.
- Coordinate Board and shareholder meetings, including:
- Preparing agendas
- Collating and distributing Board papers
- Drafting Board and shareholder resolutions
- Preparing and maintaining accurate meeting minutes
- Tracking actions and decisions
- Ensure required statutory filings and corporate submissions are completed accurately and within relevant deadlines.
- Manage director appointments, resignations, changes of officers, registered offices and other corporate changes.
- Coordinate incorporations, dissolutions, restructurings and changes to Group entities.
- Maintain appropriate delegated authorities, powers of attorney and authorised signatory records.
- Support annual corporate compliance requirements across international subsidiaries.
- Liaise with local counsel, company secretarial providers, corporate service providers and government authorities internationally.
- Ensure subsidiaries comply with applicable corporate governance requirements and Group policies.
Board & Senior Management Support
- Provide governance advice to the Board, Chairman, CEO and senior management as required.
- Ensure Board decisions and corporate approvals are appropriately documented and implemented.
- Advise management on corporate authority, governance processes and director responsibilities.
- Support the development and implementation of Group governance frameworks, policies and procedures.
- Maintain confidentiality and discretion when handling sensitive Board, shareholder and corporate information.
Candidate Profile
The successful candidate should ideally have:
- Qualified lawyer status in a recognised jurisdiction.
- Approximately 8–15+ years' relevant legal experience, although exceptional candidates outside this range will be considered.
- Strong commercial legal and contract negotiation experience.
- Demonstrable company secretarial and corporate governance experience.
- Experience supporting Boards and senior executives.
- Experience managing multiple legal entities across several countries.
- Strong understanding of corporate structures, statutory filings, Board governance and subsidiary management.
- Experience within telecommunications, MNO, MVNO, technology, digital or another regulated international business is highly desirable.
- Exposure to international regulatory and compliance environments.
- Ability to coordinate multiple external legal and corporate service providers across jurisdictions.
- Excellent written and verbal communication skills.
- Strong organisational skills with the ability to manage multiple deadlines and priorities.
- Commercially minded, pragmatic and comfortable operating in a fast-moving international environment.
Preferred Experience
Particular interest will be given to candidates with experience in:
- Multi-country corporate structures
- International subsidiary governance
- Board and shareholder governance
- Commercial telecom and technology contracts
- Corporate restructuring and entity rationalisation
- Regulatory and compliance matters
- International expansion and new-market entry
- Working directly with CEOs, CFOs, General Counsel and Boards
