Getfive is a SEBI-registered Merchant Banking firm having offices in Mumbai and Ahmedabad. The firm specializes in IPOs and pre-IPO private equity fund-raising. Along with the Merchant banking arm, the firm also manages an AIF focused on late-stage companies.

We are looking for a proactive and dynamic IPO Project Manager to drive capital market transaction, with direct client engagement, and strategic collaborations. The role involves identifying, reaching out, and building relationships with advisors meeting clients face-to-face, and converting leads into long-term partnerships.
Roles and Responsibilities
1. Preparing the Draft Offer Document (DRHP/RHP/Prospectus) as per SEBI (ICDR) Regulations, 2018
2. Carrying Secretarial Due Diligence of the client in terms of Companies Act, 2013
3. Liasoning with the client for IPO documentation
4. Ensuring compliances related to filing of SME IPO to Stock Exchanges, SEBI and ROC.
5. Preparing/Reviewing draft resolutions in respect of bonus issue, private placement, Company conversion, Change in Board Constitution etc.
6. Coordinating with the Company, Legal Advisors, Practicing Company Secretaries, Registrar & Transfer Agent, Stock Exchange, SEBI etc. throughout the IPO project.
7. Assisting Team Leader in all the IPO activities till listing of shares
8. Briefing clients on post listing compliances
9. Execution for all merchant banking assignment (including Mergers & Acquisitions, IPO, Rights Issue, delisting, open offer, buy back, ESOP, structuring, etc).
10. Correspondences / Interaction with regulatory authorities, e.g. SEBI, Stock Exchanges, RBI, etc.
11. Due Diligence, drafting of offer document / prospectus, public announcement, agreements, schemes of arrangement, information memorandum, etc.
Knowledge, Skills, Abilities & Qualifications:
• CA, CS or MBA (Finance) with minimum experience of 2 years
• Proficiency in MS office
• Excellent oral and written communication skills with clarity of thought, speech and expression
• Good Problem Solving & Analytical Skills
• Sound knowledge of corporate laws, merchant Banking with capital market transactions
• Drafting capabilities and presentation
• Ability to cope with high levels of responsibility and with confidential matters.
• Ability to work well within the team
• Computer Literacy.
