Experience
5-8 years PQE (Post Qualification Experience) in Capital Markets, Corporate and Securities Laws.

Role Overview
The Senior Legal Associate will be responsible for advising and assisting clients on a wide range of domestic and cross-border capital market transactions. The role involves transaction structuring, regulatory compliance, due diligence, drafting, negotiation, and liaison with regulators, stock exchanges, merchant bankers, and other intermediaries.
Key Responsibilities
Capital Market Transactions
Lead and support legal aspects of various capital market assignments including:
- Initial Public Offerings (IPOs)
- Qualified Institutional Placements (QIPs)
- Rights Issues
- Preferential Issues / Preferential Allotments
- Follow-on Public Offers (FPOs)
- Offer for Sale (OFS)
- Buybacks of Securities
- Delisting of Equity Shares
- Open Offers and Takeovers under SEBI (SAST) Regulations
- REITs and InvITs offerings
- Debt Listings and Non-Convertible Debenture (NCD) issuances
- Foreign Capital Market Transactions, where applicable
Transaction Execution
- Conduct comprehensive legal due diligence.
- Draft, review and negotiate transaction documents.
- Prepare and review offer documents, draft red herring prospectuses (DRHP), red herring prospectuses (RHP), prospectuses, letters of offer, placement documents and public announcements.
- Advise on transaction structuring from legal and regulatory perspectives.
- Coordinate with merchant bankers, registrars, auditors, stock exchanges and regulatory authorities.
Regulatory Advisory
- Advise clients on compliance with:
- SEBI Regulations
- Companies Act, 2013
- Securities Contracts (Regulation) Act (SCRA)
- Depositories Act
- Listing Regulations (LODR)
- ICDR Regulations
- Buyback Regulations
- Delisting Regulations
- Takeover (SAST) Regulations
- Assist in handling regulatory queries and observations from SEBI and stock exchanges.
Client Management
- Serve as a key point of contact for clients.
- Participate in business development initiatives.
- Build and maintain relationships with issuers, intermediaries and institutional stakeholders.
- Mentor and supervise junior associates.
Required Qualifications
- LL.B. from a recognized university.
- Enrollment with the Bar Council of India.
- Decent academic background.
Required Skills
- Extensive knowledge of Indian capital markets and securities laws.
- Experience in IPOs, QIPs, Rights Issues, Preferential Issues, Takeovers, Buybacks and Delistings.
- Strong drafting, analytical and negotiation skills.
- Ability to manage multiple transactions simultaneously.
- Excellent communication and stakeholder management abilities.
- Commercial awareness and problem-solving skills.
Preferred Experience
- Prior experience with a leading law firm, investment bank legal team, or capital markets practice.
- Exposure to high-value and complex listed company transactions.
- Experience interacting with SEBI, stock exchanges and market intermediaries.
