Position Summary
The role will serve as a senior contracting leader responsible for shaping, negotiating, and governing complex customer-facing commercial agreements for technology, digital engineering, healthcare technology, and services engagements. The role requires a strong combination of commercial judgment, legal and regulatory awareness, stakeholder influence, operational discipline, and executive-level advisory capability.
This position is expected to own contracting strategy for high-value and high-risk deals, lead governance improvements, influence cross-functional decision-making, and enable revenue acceleration while maintaining appropriate risk, compliance, privacy, security, and operational safeguards.
This would be an Individual Contributor role.
Key Responsibilities
- Lead the end-to-end review, drafting, negotiation, approval, execution, and governance of complex customer-facing commercial agreements, including MSAs, SOWs, BAAs, DPAs, NDAs, amendments, renewals, and change orders.
- Own contracting strategy for large, strategic, high-value, multi-jurisdictional, and non-standard deals, ensuring alignment with business objectives, risk appetite, delivery capability, and revenue timelines.
- Serve as the senior contracting advisor and escalation point for enterprise services, delivery, finance, privacy, cyber security, compliance, and legal stakeholders during deal pursuits and customer negotiations.
- Partner with executive leadership to provide concise, risk-based recommendations on deal approvals, contractual exceptions, negotiation positions, and customer escalations.
- Lead customer and external counsel negotiations on key commercial, operational, legal, privacy, security, Artificial Intelligence usage and compliance provisions, including HIPAA, U.S. state privacy requirements, data protection, cybersecurity, indemnities, limitation of liability, warranties, insurance, intellectual property, audit rights, service levels, termination rights, and regulatory aspects.
- Evaluate contractual risks, identify business and compliance impacts, and recommend practical mitigation strategies, fallback positions, and escalation pathways.
- Drive resolution of redlines and negotiation bottlenecks by aligning internal stakeholders on acceptable positions, decision rights, and risk mitigation strategies.
- Develop and maintain approved contractual positions, negotiation playbooks, fallback clauses, clause libraries, risk rating frameworks, and exception approval processes.
- Provide contracting guidance on healthcare technology engagements involving privacy, security, confidentiality, protected health information, business associate obligations, cybersecurity controls, data usage, offshore delivery, subcontracting, and cross-border service delivery.
- Influence cross-functional stakeholders to achieve timely contracting outcomes without compromising on risk positions.
- Support revenue acceleration by proactively removing deal bottlenecks, improving turnaround times, and enabling commercially viable contracting outcomes.
- Establish and continuously improve contract review workflows, approval matrices, governance processes, and quality standards for customer-facing agreements.
- Define and track contracting metrics, dashboards, cycle-time analysis, exception trends, negotiation outcomes, and business-impact reporting for leadership review.
- Ensure contract repositories and records are complete, accurate, searchable, and maintained in accordance with organizational requirements and audit expectations.
Education
- Master’s degree in Law, Business, Commerce or related field.
- MBA, LLB, LLM, or equivalent professional qualification preferred.
- Additional certifications in contract management, or project/program management will be an advantage.
Experience
- 14–18 years of progressive experience in commercial contracting, legal operations, contract lifecycle management, deal desk, procurement contracting, or in-house legal/commercial functions.
- Demonstrated experience leading or independently owning complex enterprise contract negotiations with U.S.-based and global clients.
- Strong background in IT services, technology consulting, digital engineering, healthcare technology, outsourcing, software-enabled services, or professional services environments.
- Experience supporting healthcare, health-tech, provider, payer, life sciences, or regulated industry clients is preferred.
