~ 8+ years of post-qualification experience, primarily in listed company
Qualification
ACS / FCS (ICSI); LLB advantageous
2. KEY RESPONSIBILITIES
Board & Shareholder Meetings
• Planning, drafting and finalization of Board and Committee agendas and minutes
• AGM, EGM, postal ballot and e-voting documentation — end-to-end ownership
• Board resolutions, explanatory statements and meeting notices.
Listed Company & Regulatory Compliance
• Stock exchange disclosures and corporate communications under SEBI LODR
• Quarterly and periodic compliance filings under SEBI Listing Regulations
• Liaison with depositories (NSDL/CDSL), stock exchanges, RTA, lenders and debenture trustees
• IEPF transfers — shares and dividend; dividend-related banking coordination
Subsidiary & Group Compliance
• Monitoring and managing compliance obligations across ~20 group entities.
• ROC filings and statutory register maintenance
• Coordination with internal departments — Finance, Legal, Business Development, Accounts
Audit & Coordination
• Audit support — internal, statutory and secretarial audit preparation.
• Liaison with auditors, practicing CS, legal counsel and financial advisors.
• FEMA compliance coordination as required.
3. CANDIDATE PROFILE
• Demonstrated ownership of compliance timelines without active supervision.
• Preference for candidates demonstrating professional stability and long-term commitment.
Advantageous criteria
• Experience with multi-entity structures — holding company with subsidiary/SPV layers/ Related Business Verticals
• Working knowledge of FEMA and RBI reporting
• InvIT Regulation, NBFC or infrastructure sector background
• Comfort liaising with depositories, RTA, debenture trustees, lenders, shareholders.
