National Investment and Infrastructure Fund Limited (“NIIF”) is India’s largest infrastructure and private equity fund manager, with ~ USD 7.3+ billion in assets under management. Anchored by the Government of India (GoI), NIIF aims to mobilize capital from international and domestic institutional investors for large scale investments in the country through its six funds. Investors in NIIF funds include: sovereign wealth funds like Abu Dhabi Investment Authority (ADIA) and Temasek; global pension funds like Ontario Teachers’ Pension Plan (OTPP), AustralianSuper, CPP Investments, PSP Investments; development financial institutions like U.S International Development Finance Corporation (USIDFC); multilateral development banks like Asian Infrastructure Investment Bank (AIIB), Asian Development Bank (ADB) and New Development Bank (NDB); and top domestic financial institutions such as State Bank of India, HDFC Group, ICICI Bank, Kotak Life and Axis Bank.
Job Responsibilities :
Board Advisory, Governance & Leadership
• Serve as a trusted advisor to the Board and senior management on governance, fiduciary obligations and regulatory developments.
• Lead Board and committee processes, including agenda setting, preparation of papers, minutes and resolutions, and tracking of action items.
• Shape and institutionalise governance frameworks across the Manager, Funds, Trustee and portfolio companies.
• Build and lead a high-performing compliance and secretarial team, with responsibility for capacity, quality and execution standards across the function.
Platform Oversight & Stakeholder Management
• Act as the central point of interface with institutional investors, regulators, trustees, auditors, custodians and depositories.
• Drive consistency of governance and compliance standards across a diversified fund platform and portfolio ecosystem.
• Provide strategic support on fund structuring, investor onboarding and key governance aspects of capital raising.
Regulatory Strategy & AIF Compliance
• Lead compliance with SEBI (AIF) Regulations, Companies Act, FEMA and other applicable regulatory frameworks.
• Oversee regulatory filings and reporting across SEBI, RBI, MCA/ROC and other authorities.
• Manage fund-level and investor-level reporting, including FATCA/CRS, Form 64D, FLA, QAR/QCR and other statutory requirements.
• Engage proactively with regulators and track regulatory developments to ensure timely, forward-looking implementation.
Compliance Frameworks, Risk Oversight & Controls
• Design and embed robust compliance frameworks, internal controls and governance policies across entities and funds.
• Lead regulatory inspections, internal audits and compliance reviews.
• Partner closely with investment, finance and legal teams to enable business objectives within a disciplined risk framework.
Fund & Entity Lifecycle Management
• Oversee fund formation, structuring, documentation and regulatory approvals.
• Manage lifecycle events across portfolio entities, including incorporation, restructuring and exits.
• Ensure governance and compliance considerations are embedded across investment lifecycles.
Secretarial & Corporate Administration
Secretarial & Corporate Administration
• Ensure maintenance of statutory registers, corporate records and governance documentation across entities.
• Oversee filings, disclosures and completion of secretarial audits.
• Draft and review resolutions, governance policies and key corporate documentation.
Key Skills

Qualification and Experience
• Qualified Company Secretary (ICSI mandatory); LLB or equivalent preferred.
• Experience in AIF / private equity / asset management / financial services.
• Strong working knowledge of SEBI and IFSCA AIF Regulations, corporate law and regulatory frameworks.
• Experience working with large institutional and foreign investors.
• Demonstrated experience managing multi-entity and SPV structures.
