Role Title: UK-qualified (LLB/LLM) M&A / Investments / JV lawyer
Location: Pune/Dubai (On-site) 5-days work from office
PQE: 12 to 20 years of experience including in-house or family office / private wealth experience.
Relevant Industry: Metals, Mining & Minerals Trading, Resources & Infrastructure
KEY RESPONSIBILITIES:
- Advise on structuring and documentation for investments, co-investments, and holding structures (DIFC/ADGM and offshore vehicles).
- Deal coverage across India, Africa, UAE and international markets
- Manage ongoing regulatory compliance for the family office’s DIFC/ADGM-registered entities, including liaison with DFSA/FSRA as required.
- Investment, co-investment, and holding structure documentation completed accurately, on time, and compliant with DIFC/ADGM and offshore requirements.
- Sustained regulatory good standing for all DIFC/ADGM-registered entities, with no compliance breaches and timely DFSA/FSRA liaison.
- Commercial agreements (investment, shareholder/JV, vendor, service, employment) negotiated and executed within required timelines, with the family office’s interests protected.
- Succession and estate planning documentation — including DIFC Wills Registry filings and trust structures — completed accurately and in coordination with private client specialists.
- Up-to-date, audit-ready governance records across the family office and group entities — board resolutions, minutes, statutory filings, and cap tables.
- Effective, cost-conscious use of external counsel, with the right specialists briefed and managed for tax, litigation, cross-border M&A, and licensing matters.
- Clear, timely legal risk assessments provided to the Principal and CFO ahead of key investment and governance decisions.
- Proactive alerts on regulatory developments, with practical implications flagged before they affect the family office structure.
- Lease, mining, and energy contracts reviewed, negotiated, and closed without unresolved legal exposure.
Mandatory Requirements: Key skills, qualifications, experience level, certifications, etc. (3-6 bullet points preferred)
- Common Law qualification – Specifically UK qualification (LLB or LLM) completed on-site/in person in the UK
- Distance learning / online UK qualifications such as Passing SQE online examination will not be considered
- Willingness to work on-site from Pune 5-days work from office role
- Individual contributor role
- Solicitor qualification is not mandatory, but would be an advantage along with having on-site UK academic qualifications
- Working knowledge of DIFC and/or ADGM regulatory frameworks.
- Experience with cross-border investment structuring, including familiarity with offshore vehicles (Cayman, BVI, Jersey).
