About the Role
We are looking for an experienced Chief Legal Officer (CLO) to lead the company’s legal, regulatory, compliance, governance, and risk management functions.
The CLO will work closely with the Founders, Board, Finance, Business, Product, Technology, HR, and external advisors to ensure that the company operates within a strong legal and governance framework while supporting aggressive business growth.
This role requires someone who can combine strong legal judgment with commercial understanding and operate effectively in a fast-growing technology business.
Key Responsibilities
- Own the overall legal strategy and legal risk framework of the company.
- Advise founders, senior management, and the Board on legal, regulatory, and governance matters.
- Draft, review, negotiate, and approve commercial agreements including:
- Client and vendor agreements
- Partnership agreements
- Technology and SaaS agreements
- API/data-sharing agreements
- NDAs
- Licensing agreements
- Employment and consulting agreements
- Service agreements
- Establish and maintain strong corporate governance and compliance frameworks.
- Oversee Companies Act, FEMA, RBI, SEBI, data privacy, employment, and other applicable regulatory requirements depending on business activities.
- Manage legal aspects of fundraising, investments, shareholder agreements, ESOPs, due diligence, and corporate restructuring.
- Support mergers, acquisitions, strategic investments, and other corporate transactions where applicable.
- Manage intellectual property including trademarks, copyrights, technology ownership, and licensing.
- Develop frameworks for data privacy, information security, consent management, and data-sharing compliance.
- Identify legal and regulatory risks associated with new products, partnerships, and business models.
- Manage litigation, disputes, notices, arbitration, and relationships with external law firms.
- Oversee statutory documentation, corporate records, Board documentation, and legal filings.
- Build standardized contracts, legal templates, approval processes, and contract repositories.
- Work closely with HR on employment law, disciplinary matters, employee policies, and workplace compliance.
- Support business teams during enterprise negotiations and strategic partnerships.
- Monitor regulatory developments that may impact the company's operations.
- Build and lead the internal legal and compliance team as the organization scales.
Required Skills & Experience
- 12–18+ years of relevant legal experience.
- LLB from a recognized university; LLM or additional specialization is preferred.
- Strong experience in corporate and commercial law.
- Experience advising technology, fintech, digital, SaaS, data, internet, or high-growth businesses.
- Strong contract drafting and negotiation capabilities.
- Experience with corporate governance and regulatory compliance.
- Strong understanding of Indian corporate laws and regulatory frameworks.
- Experience supporting fundraising, investment transactions, and due diligence.
- Ability to evaluate legal issues from both risk and commercial perspectives.
- Experience interacting with senior leadership, Boards, investors, regulators, and external counsel.
- Excellent communication, negotiation, and stakeholder-management skills.
Preferred Experience
- Experience working in a startup or rapidly scaling organization.
- Exposure to fintech, digital lending, AdTech, MarTech, data platforms, or financial services.
- Knowledge of India's evolving data protection and privacy regulations.
- Experience handling API agreements, data partnerships, digital products, and technology contracts.
- Previous experience as General Counsel, Head of Legal, Legal Director, or Chief Legal Officer.
