Role Overview
Soroco is looking for a commercially minded, hands-on General Counsel to lead the company’s legal and compliance function. The role will serve as a trusted advisor to the Board and executive leadership while remaining closely involved in day-to-day execution across enterprise contracting, corporate governance, privacy and security, IP, employment, strategic transactions and regulatory matters. The ideal candidate combines strong judgment and business orientation with the ability to independently drive complex legal matters in a fast-moving global technology environment.
Key Responsibilities
Commercial & Product
• Lead the drafting, review and negotiation of complex enterprise technology agreements, including SaaS, software licensing, services, SLAs, procurement, reseller/distribution and strategic partnership arrangements.
• Own legal support for major customer and partner negotiations, balancing commercial objectives with appropriate risk allocation.
• Develop and maintain standard templates, contracting playbooks and escalation positions; improve contracting processes and contract lifecycle management.
• Advise product and business teams on legal issues arising from product functionality, licensing models, customer commitments and disputes.
Privacy, Security & AI Governance
• Lead data privacy compliance across relevant global regimes, including GDPR, CCPA and India’s DPDPA, and advise on cross-border data transfers and data processing arrangements.
• Partner with product, engineering and security teams on privacy-by-design, data governance, security incidents and customer security requirements.
• Provide legal and compliance leadership for information-security frameworks and customer assurance programs, including SOC 2 and ISO 27001-related workstreams.
• Develop and maintain practical AI governance frameworks, policies and risk assessments for the responsible development and deployment of AI-enabled products.
Corporate, Governance & Strategic Transactions
• Advise the Board and executive leadership on corporate governance, fiduciary duties, entity structure, risk and significant corporate matters.
• Manage corporate structuring and reorganizations across jurisdictions, coordinating with tax, finance and external advisors as required.
• Lead or support M&A, fundraising and other strategic transactions, including term sheets, diligence, transaction documents, closing and post-closing matters.
• Oversee equity-related legal matters, including ESOP documentation, shareholder matters and coordination on cap-table governance.
IP, Employment & Compliance
• Own legal strategy for trademarks, copyrights, patents, trade secrets and IP licensing, working with specialist external counsel where appropriate.
• Advise HR and leadership on employment agreements, policies, separations, compensation arrangements, workplace matters and POSH compliance.
• Support finance and leadership on tax-sensitive legal structuring, transfer-pricing considerations and other cross-functional compliance matters.
• Manage material disputes, investigations and regulatory issues, including coordination with external counsel.
Legal Leadership & Operations
• Own the overall legal and compliance agenda, prioritization and risk-management framework for the business.
• Build scalable legal processes, knowledge systems, training programs and internal policies that enable business teams to move quickly with appropriate controls.
• Manage external counsel, legal budgets and specialist advisors; recruit and develop legal/compliance team members as the function grows.
• Operate as a pragmatic business partner who can distinguish material risk from theoretical risk and provide clear, actionable recommendations.
Candidate Profile
• 12+ years of post-qualification legal experience, with significant in-house experience in a technology, SaaS, software or high-growth business.
• Demonstrated ownership of complex enterprise commercial negotiations with sophisticated global customers and counterparties.
• Strong working knowledge of data privacy, cybersecurity contracting, IP and technology law; familiarity with AI governance is strongly preferred.
• Meaningful experience advising senior executives and Boards on governance, corporate risk and strategic matters.
• Experience with corporate transactions such as M&A, fundraising, reorganizations or equity programs is highly desirable.
• Ability to work independently across a broad legal remit, move between strategic and execution-level issues, and manage multiple high-priority matters simultaneously.
• Strong drafting, negotiation and stakeholder-management skills, with a practical and commercially oriented approach to risk.
• LL.B./B.A. LL.B. or equivalent law degree from a recognized institution; qualification to practice law in India or another relevant jurisdiction preferred.
