Role Description The Independent Director will serve on the Board of Directors, providing objective oversight, strategic guidance, and governance support to BARODA EXTRUSION LTD. This full-time, on-site role, based in Vadodara, involves reviewing and approving key policies, monitoring financial performance, and ensuring that the company adheres to statutory and regulatory requirements. The Independent Director will participate in board and committee meetings, evaluate business risks, and contribute to decisions related to corporate strategy, investments, and stakeholder interests. Day-to-day activities include analyzing reports from management, offering independent perspectives on major initiatives, and helping strengthen internal controls and ethical standards. The role also includes collaborating with other board members to promote transparency, accountability, and sustainable growth.
Qualifications
- Demonstrated experience in corporate governance, board-level decision-making, and oversight of compliance and risk management.
- Strong understanding of financial statements, budgeting processes, and corporate finance, preferably within manufacturing or industrial sectors.
- Knowledge of Indian company law, SEBI regulations, and other relevant statutory and regulatory frameworks governing listed companies.
- Proven ability to provide independent judgment, maintain confidentiality, and manage potential conflicts of interest in a professional manner.
- Excellent analytical, strategic thinking, and problem-solving skills, with the capacity to review complex information and offer clear guidance.
- Effective communication and interpersonal skills, including the ability to engage constructively with board members, management, and external stakeholders.
- Prior experience as a director, senior executive, or advisor in a listed or professionally managed company is highly beneficial.
- Relevant academic background such as a degree in business, finance, law, engineering, or a related discipline; professional certifications (e.g., CA, CS, MBA) are an advantage.
