Role Overview:
Amagi seeks a senior, business-oriented lawyer to join us as Senior Director, Legal, based in Bangalore, India. This role will lead the India legal function, serving as the primary legal business partner for India, reporting to Amagi’s General Counsel and coordinating closely with the Company Secretarial function. As a listed company, this role requires strong judgment on regulatory and governance matters in addition to day-to-day commercial and employment law support.
What will you own?
- Lead the drafting, review, and negotiation of commercial agreements, including customer agreements, partnership agreements, data processing agreements, and non-disclosure agreements
- Lead legal support for procurement and vendor engagements, including master service agreements, purchase agreements, and supplier terms
- Advise on FEMA, RBI, and other cross-border regulatory matters
- Advise on corporate governance and regulatory compliance, including the interpretation and practical application of SEBI regulations and other obligations applicable to a listed company
- Support Board, Committee, and other corporate governance processes in partnership with the Company Secretarial function
- Advise on employment and labour law matters, including employee relations, terminations, and disputes
- Advise on intellectual property matters, including licensing, protection, and enforcement
- Provide legal guidance on privacy, data protection, and related compliance requirements
- Manage disputes, litigation, and arbitration matters, including the engagement and oversight of external counsel in India
- Oversee legal operations, including contract lifecycle management, legal documentation, reporting, and record management for the India legal function
- Partner with business leaders across India to ensure Legal is engaged early in decision-making and provide pragmatic, business-oriented legal counsel
What are we looking for?
- LLB or an equivalent law degree from a recognized law school in India
- Enrolled with the Bar Council of India
- 8 – 12 years of post-qualification experience, with a combination of law firm and in-house legal experience
- Strong preference for candidates with substantial in-house legal experience
- Proven experience negotiating and drafting commercial/customer as well as procurement/vendor contracts
- Experience supporting a listed/public company, including interpreting and advising on the practical application of SEBI regulations, is highly preferred
- Company Secretary (ICSI) qualification or relevant Company Secretarial experience is an added advantage
- Demonstrated ability to proactively identify legal risks, analyze complex legal issues, and provide pragmatic, business-oriented advice
- Excellent written, verbal, and stakeholder communication skills
- Highly collaborative, with the ability to build strong cross-functional relationships and influence stakeholders at all levels
