We are seeking a proactive and detail-oriented Legal Counsel to support assigned business verticals and functional teams by providing timely, practical, and business-focused legal guidance. This role will act as the first point of contact for all legal matters, with primary ownership of reviewing, drafting, and negotiating commercial and non-commercial contracts, partnerships, and key business initiatives.
The position will work closely with cross-functional stakeholders to ensure legal compliance, mitigate risks, and enable smooth business operations while aligning with the organization’s governance and regulatory standards.
Key Responsibilities:
Commercial Contracts
- Review, draft, negotiate, and advise on a wide range of commercial agreements, including vendor agreements, supplier contracts, service agreements, technology and SaaS agreements, NDAs, marketing agreements, partnership agreements, and procurement contracts.
- Provide practical and commercially focused legal advice to business stakeholders while effectively managing legal risks.
- Support business teams in contract interpretation, dispute resolution, and contractual risk assessment.
- Drafting and negotiating strategic partnerships, enterprise commercial deals, and cross-functional expansion projects.
- Managing Central Bank licensing applications,regulatory compliance, and payment institution permits across operational jurisdictions.
- Negotiating Payment Processing Agreements, Payment Gateway Agreements, acquiring/issuing contracts, and card scheme integrations.
Corporate and Transactional Support
- Assist in the review, drafting, and management of corporate documentation and legal records.
- Support investment transactions, corporate restructuring initiatives, and other strategic projects.
- Conduct legal due diligence and assist in the preparation and review of transaction-related documents.
- Prepare legal summaries, research notes, opinions, and internal advisory memoranda for business and leadership teams.
- Executing enterprise Technology Procurement Agreements, SaaS terms, cloud hosting contracts, and vendor SLAs.
- Drafting and reviewing Data Privacy Agreements (DPAs), cross-border data transfer protocols, and financial data residency compliance frameworks.
Legal Advisory & Risk Management
- Identify legal and compliance risks and recommend practical mitigation measures.
- Provide day-to-day legal support to cross-functional teams on operational, commercial, and strategic matters.
Stakeholder Management
- Partner closely with teams across Finance, Commercial, Procurement, HR, Operations, and other business functions to provide legal support.
- Coordinate with external legal counsel and manage legal deliverables effectively—if required.
- Build strong relationships with internal stakeholders to understand business requirements and provide timely legal guidance.
- Support the wider Legal team in managing multiple projects and priorities in a fast-paced environment.
What you'll need:
- Between 3-8 years PQE with significant experience in in commercial contracts and transactional legal work, with the ability to independently review, draft and negotiate complex agreements.
- A solid understanding of technology, SaaS, procurement, vendor, partnership and payment-related contracts, with an ability to translate legal considerations into practical business advice.
- Experience working on data privacy, DPAs, cross-border data transfers and data residency requirements would be highly valuable.
- Exposure to corporate transactions, investments, restructuring, due diligence and strategic projects, with strong legal research and drafting capabilities.
- Familiarity with financial services and payments regulation, including licensing, payment institution requirements, payment processing, acquiring/issuing arrangements and card schemes, would be an advantage.
- Strong commercial acumen and risk judgement - you know how to balance protecting the business with enabling it to move quickly.
- Excellent stakeholder management and communication skills, with the confidence to work closely with senior leaders and teams across Finance, Commercial, Procurement, HR and Operations.
- The ability to manage multiple priorities in a fast-paced environment, while maintaining attention to detail and delivering high-quality work within timelines.
- Regional experience of UAE, KSA and /or Egypt would be an additional advantage.
