Job Description – Company Secretary

1. Position Overview
We are seeking an experienced and highly organised Company Secretary (CS) to establish and manage the corporate governance, statutory compliance, regulatory documentation, and secretarial functions of an upcoming international university branch campus in India.
The Company Secretary will play a critical role in ensuring that the campus operates in full compliance with applicable Indian corporate, education, regulatory, statutory, and governance requirements, while also supporting coordination with the university's international headquarters and governing bodies.
The role will be particularly important during the establishment and launch phase of the international university campus, including entity setup, regulatory registrations, licences, agreements, governance structures, and ongoing statutory compliance.
2. Key Responsibilities
A. Corporate Secretarial & Governance
- Manage all statutory and corporate secretarial matters of the Indian entity/campus.
- Ensure compliance with the Companies Act, applicable rules and regulations, and other relevant Indian laws.
- Maintain statutory registers, records, minutes, resolutions, declarations, and corporate documents.
- Prepare agendas, notices, minutes, resolutions, and supporting documents for Board and committee meetings.
- Coordinate Board meetings, shareholder meetings, committee meetings, and other governance meetings.
- Ensure timely implementation and documentation of Board and management decisions.
- Maintain a comprehensive compliance calendar and ensure timely completion of all statutory filings.
B. Regulatory & University Compliance
- Coordinate with relevant Indian regulatory and statutory authorities as applicable to the establishment and operation of the international university campus.
- Support the university leadership in obtaining and maintaining necessary registrations, approvals, permissions, licences, and statutory compliances.
- Monitor changes in Indian laws and regulations that may impact the university's operations.
- Coordinate with legal counsel and external consultants on regulatory and compliance matters.
- Ensure that agreements, policies, governance documents, and operational structures are aligned with applicable Indian requirements.
- Support compliance related to foreign university/foreign entity arrangements, where applicable.
C. International Headquarters Coordination
- Act as a key governance and compliance liaison between the India campus and the university's international headquarters.
- Coordinate preparation and execution of Board resolutions, powers of attorney, delegations, agreements, and other governance documents.
- Ensure that decisions taken by the international university are appropriately documented and implemented within the Indian legal framework.
- Maintain clear records of approvals and governance decisions between India and the international headquarters.
D. Legal Documentation & Contracts
- Coordinate with internal stakeholders and external legal counsel for review and execution of:
- Academic and institutional agreements
- Vendor and service agreements
- Employment-related agreements
- Consultancy agreements
- Lease and property agreements
- Partnership/MOU agreements
- Student-related agreements
- International collaboration agreements
- Maintain a central repository of executed agreements and important legal documents.
- Monitor contract renewal dates, obligations, and compliance requirements.
- Escalate significant legal and contractual risks to senior management.
E. Statutory Filings & Compliance
- Ensure timely filing of applicable forms and returns with relevant government authorities.
- Coordinate with Finance, HR, Legal, and other departments for information required for statutory filings.
- Maintain accurate records of statutory registrations, certificates, licences, approvals, and renewals.
- Track and close compliance gaps within defined timelines.
- Support statutory, internal, tax, and regulatory audits by providing required documentation.
F. Risk Management & Compliance Monitoring
- Develop and maintain a robust compliance framework for the campus.
- Identify potential legal, regulatory, governance, and statutory risks.
- Escalate material compliance risks to senior management.
- Conduct periodic compliance reviews and prepare management reports.
- Ensure appropriate documentation and corrective action for identified compliance gaps.
G. Policy & Governance Framework
- Assist in developing and reviewing institutional policies, governance frameworks, delegations of authority, and committee structures.
- Ensure policies are appropriately approved, documented, communicated, and periodically reviewed.
- Support establishment of governance mechanisms suitable for an international university operating in India.
H. Campus Establishment & Launch Support
During the pre-launch and establishment phase, the Company Secretary will be expected to support:
- Incorporation/structuring of the Indian entity, where applicable.
- Statutory registrations and regulatory approvals.
- Establishment of the Board and governance committees.
- Preparation of constitutional and governance documents.
- Execution of agreements with the international university/head office.
- Regulatory and legal due diligence.
- Coordination with government authorities and professional advisors.
- Establishment of statutory records and compliance systems.
- Readiness of the campus for commencement of operations.
