A regional real-estate developer running projects across two cities has partnered with Flexiple to hire a Corporate Governance Specialist. Flexiple is a managed marketplace that places specialist talent inside growing India companies.
The developer runs each project through a separate legal entity, a common structure in real estate, and that structure has grown to a dozen entities without a single person tracking board meetings, filings, and statutory compliance across all of them. This role exists to bring that structure under one governance function.
What the role covers across the group
- Organise board and shareholder meetings across the group's entities, including agendas, notices, and minutes
- Maintain statutory registers and ensure Companies Act compliance for every entity in the group
- File annual returns, resolutions, and other statutory documents with the Registrar of Companies on schedule
- Track related-party transactions across entities and flag disclosure requirements
- Coordinate with auditors, project finance teams, and external counsel on entity-level compliance questions
What this calls for
- 3 to 7 years in corporate governance, company secretarial practice, or compliance, with experience managing multiple legal entities
- A Company Secretary qualification, or an LLB with strong secretarial experience
- Working knowledge of Companies Act compliance and ROC filing procedures
- Comfort managing a compliance calendar across many entities without letting any one of them slip
Extra credit
- Experience with real estate or project-specific entity structures
- Exposure to related-party transaction tracking and disclosure
Location: Bengaluru, Pune — on-site, based with the finance and legal team
