Role Overview
We are seeking an experienced
Corporate Legal Counsel (8+ years) to own and manage legal matters across our India and international operations. You will partner closely with the founders, finance, HR, sales, and delivery teams to structure deals, manage risk, ensure compliance, and support our growth across multiple geographies and service lines.
Key Responsibilities
Draft, review, and negotiate a wide range of commercial contracts, including MSAs, SOWs, NDAs, partner agreements, licensing agreements, and vendor contracts.
Support sales and account teams on deal structuring, risk allocation, data protection clauses, IP ownership, and liability/indemnity terms.
Advise on corporate governance, entity structuring, board/shareholder documentation, and secretarial compliances under Indian company law.
Work with HR to review and refine employment contracts, policies (including POSH, data protection, IP/Confidentiality), and exit documentation.
Ensure compliance with applicable laws and regulations in India and relevant foreign jurisdictions (e.g., US, Canada, UAE) in collaboration with external counsel as needed.
Support data privacy and information security initiatives, including review of DPAs, SCCs, cross‑border data transfer arrangements, and customer security questionnaires.
Manage legal aspects of partnerships with hyperscalers, SaaS vendors, and other ecosystem partners.
Handle and coordinate responses to legal notices, disputes, and potential litigation or arbitration, engaging external counsel where required.
Maintain contract templates, playbooks, and clause libraries to streamline negotiations and improve turnaround time.
Provide clear, business‑friendly legal advice to leadership and functional teams and conduct periodic trainings on key policies and legal risks.
Required Qualifications & Experience
LL.B from a reputed law school; LL.M or additional qualifications in corporate/commercial or technology law is an advantage.
8+ years of post‑qualification experience in corporate/commercial law, with at least part of it in‑house at a technology / IT / SaaS company or in a leading law firm’s corporate/tech practice.
Strong experience drafting and negotiating commercial contracts with international clients, preferably in technology, cloud, or professional services.
Good understanding of Indian company law, contract law, employment law basics, and data‑protection/privacy concepts (e.g., GDPR‑style principles, DPDP).
Exposure to IP (copyrights, patents, know‑how, licensing) in a software/AI context.
Ability to work independently in a fast‑paced startup environment and balance risk with business pragmatism.
Excellent written and verbal communication skills, with the ability to explain legal concepts clearly to non‑legal stakeholders.
High integrity, sound judgment, and strong stakeholder‑management skills.
Nice to Have
Experience supporting cross‑border operations (e.g., US, Canada, Middle East) and working with foreign counsel.
Prior experience with AI/ML, data‑heavy, or regulated‑industry customers (BFSI, healthcare, public sector).
Familiarity with information security standards and certifications (e.g., ISO 27001, SOC 2) from a contractual/compliance standpoint.
