Manager – Corporate Development & Legal (M&A Transactions)
Job Summary
We are seeking a highly driven and commercially astute legal professional to join the Corporate Development & Legal team, with a strong focus on Mergers & Acquisitions (M&A), strategic investments, and enterprise transactions. This role will play a key part in supporting end-to-end deal execution, legal transaction management, corporate governance, and strategic partnership initiatives.
The ideal candidate should possess strong expertise in reviewing, drafting, negotiating, and managing transaction-related legal documentation including LOIs, MSAs, NDAs, term sheets, definitive agreements, and acquisition-related contracts. The role requires deep understanding of M&A processes, deal lifecycle management, legal due diligence coordination, and transaction governance frameworks.
This position is ideal for a legal professional looking to expand beyond traditional legal operations into strategic transactions, investments, and corporate development execution.
Key Responsibilities
1. M&A Transaction Execution & Deal Governance
- Support end-to-end execution of M&A transactions, strategic investments, partnerships, and corporate development initiatives.
- Act as the legal transaction coordinator (“deal quarterback”) across internal and external stakeholders throughout the deal lifecycle.
- Manage transaction workflows, timelines, approvals, diligence streams, governance checkpoints, and closing deliverables.
- Partner closely with Corporate Development, Finance, Tax, Compliance, and business leadership teams to ensure seamless transaction execution.
- Coordinate signing, closing, integration readiness, and post-transaction governance activities.
2. Corporate Legal Documentation & Negotiation
- Lead the drafting, review, negotiation, and management of complex corporate and transaction-related agreements including NDAs, LOIs, MSAs, MOUs, term sheets, SOWs, Share Purchase Agreements, Shareholder Agreements, Asset Purchase Agreements, Partnership & Commercial Agreements, TSAs, and other definitive acquisition and investment documentation.
- Conduct detailed legal and commercial analysis of transaction documents with strong focus on indemnities, liability exposure, governance rights, exclusivity obligations, regulatory compliance, commercial protections, and change-of-control implications. Ensure all agreements accurately reflect business intent while protecting the organization’s legal and commercial interests.
- Partner closely with internal stakeholders, external counsel, and transaction advisors throughout negotiation, execution, signing, and closing phases of strategic transactions and M&A deals.
3. Legal Due Diligence & Risk Assessment
- Support legal and commercial due diligence for acquisitions, strategic investments, and partnerships.
- Coordinate and manage external due diligence partners, legal advisors, consultants, and transaction support teams.
- Review corporate records, customer/vendor contracts, compliance frameworks, litigation matters, employment obligations, and regulatory exposures.
- Identify transaction-related legal, contractual, operational, and governance risks and provide mitigation recommendations.
- Prepare diligence summaries, risk assessments, issue trackers, and executive-level briefing materials.
4. Corporate Governance & Compliance
- Support governance processes associated with strategic transactions and enterprise agreements.
- Assist in preparation of board materials, audit committee documentation, transaction approval memos, and governance reports.
- Ensure adherence to corporate legal frameworks, confidentiality obligations, regulatory requirements, and internal compliance standards.
- Maintain organized legal repositories and transaction documentation controls.
5. Cross Functional Collaboration
- Collaborate closely with Corporate Development, Legal, Finance, Procurement, Compliance, and operational leadership teams.
- Translate complex legal and transactional concepts into commercially practical recommendations for business stakeholders.
- Support process improvements to strengthen transaction governance, execution efficiency, and scalability.
Skills & Competencies
- Strong understanding of mergers & acquisitions processes and end-to-end deal lifecycle management.
- Proven expertise reviewing and negotiating LOIs, MSAs, NDAs, term sheets, and transaction-related legal documentation.
- Strong knowledge of legal and commercial terms related to acquisitions, investments, and strategic partnerships.
- Experience supporting legal due diligence and coordinating external diligence partners and advisors.
- Strong understanding of corporate legal frameworks, governance standards, and transaction execution processes.
- Excellent drafting, negotiation, redlining, and legal risk assessment capabilities.
- Strong analytical thinking, stakeholder management, coordination, and execution skills.
- Ability to operate effectively in high-growth, fast-paced, and confidential transaction environments.
Preferred Qualifications & Experience
- LLB / LLM or equivalent legal qualification.
- 3+ years of experience in Corporate Development, M&A, strategic transactions, corporate legal, or transaction advisory environments.
- Exposure to mergers & acquisitions, strategic investments, partnership transactions, and enterprise commercial agreements preferred.
- Experience working with external counsel, diligence providers, investment teams, or corporate development stakeholders.
- Prior experience within Healthcare, Technology Services, BPM/BPO, or global enterprise environments is an advantage.
