ROLE PURPOSE

This is a solo legal function reporting directly to the Management and Senior Leadership. The Senior Manager – Legal is expected to be a trusted advisor, not just a document reviewer. You will own the full legal mandate – from board-level governance and high-value deal structuring to regulatory compliance and dispute management. The role demands someone who can read risk before it becomes a problem and communicate clearly to leadership without burying them in legal jargon.


KEY RESPONSIBILITIES

1. Corporate Governance & Board-Level Advisory

  • Advise the Management and Senior Leadership on governance matters, corporate structuring, and legal risk exposure.
  • Draft and review board resolutions, statutory filings, and regulatory submissions under the Companies Act.
  • Maintain governance records and ensure timely compliance with MCA, ROC, and other statutory requirements.
  • Keep leadership informed on legal developments that carry strategic or reputational risk.


2. M&A, Joint Ventures & Deal Structuring

  • Lead legal due diligence for land acquisitions, joint venture formations, and strategic partnerships.
  • Draft and negotiate term sheets, SHA, JDA, JVA, and definitive transaction agreements.
  • Coordinate with external counsel and internal finance/project teams to close deals on time.
  • Identify and flag deal-level legal risks early; recommend structures that protect the company's interests.


3. Regulatory & Statutory Compliance

  • Own end-to-end compliance with RERA, Registration Act, Labour laws, environmental regulations, and applicable local/state statutes.
  • Build and maintain a compliance calendar; proactively flag regulatory changes to leadership before they become operational issues.
  • Liaise with government authorities, regulatory bodies, and approval agencies on behalf of the company.
  • Develop and enforce internal legal policies, SOPs, and compliance frameworks across departments.


4. Litigation & Dispute Management

  • Manage all litigation, arbitration, and legal proceedings involving the company.
  • Brief and supervise external legal counsel; review and align on case strategy and cost efficiency.
  • Maintain a live litigation tracker and present regular status updates to leadership.
  • Negotiate settlements where they are commercially sensible and legally sound.


5. Contract Management

  • Review and negotiate high-value contracts: EPC agreements, vendor contracts, lease deeds, NDAs, and MoUs.
  • Establish standard contract templates and approval workflows across project, procurement, and finance teams.
  • Monitor contract compliance and provide swift, practical solutions to contractual disputes.


6. Land & Property Documentation

  • Conduct legal due diligence for all land and property transactions.
  • Verify title documents and encumbrance certificates; assist in drafting and registering sale deeds.
  • Ensure all property-related transactions are legally clean before execution.


7. Internal Legal Advisory

  • Serve as the primary legal resource for Projects, Procurement, Finance, and HR teams.
  • Translate complex legal requirements into clear, actionable guidance for non-legal stakeholders.


QUALIFICATIONS & EXPERIENCE

Education

LLB (mandatory). LLM or equivalent postgraduate qualification is a strong plus.

 

Experience

10–12 years of total legal experience. Minimum 5–7 years in an in-house corporate legal role.

 

Sector

Prior experience in construction, real estate, infrastructure is strongly preferred.

 

Corporate Track Record

Demonstrable background in deal structuring, corporate governance, and managing external counsel — not just drafting and filing.

 

Legal Knowledge

Strong working knowledge of RERA, Registration Act, Companies Act, Labour laws, environmental regulations, and land law.

 

Languages

  • Proficiency in Kannada and English is mandatory – Read, Write, and Speak.
  • Knowledge of additional languages is welcome.
