About the Role
We are seeking a dynamic and experienced lawyer with strong experience in Corporate Law, Transactions and Funds Practice to support the legal, regulatory and transactional requirements of the Oister as a Senior Manager. The role will involve end-to-end deal support, regulatory advisory and close interaction with business, external counsel and regulators.
Responsibilities
Transaction Support
- Lead and manage corporate transactions, including investments, exits, restructuring and strategic deals
- Draft, review and negotiate transaction documents such as Share Purchase Agreements, Shareholders’ Agreements, investment agreements and ancillary documents
- Support structuring of transactions from a regulatory and risk perspective
- Coordinate and manage due diligence exercises (buy-side and sell-side)
- Work closely with external counsels to ensure timely deal execution and closure
Legal & Regulatory Advisory:
- Advise on Companies Act, FEMA, SEBI regulations and other applicable financial laws
- Provide legal guidance and advice to various departments within the organization.
- Analyze and interpret legal documents, contracts, and agreements.
- Offer proactive legal support to internal stakeholders on a wide range of legal matters.
Corporate Contracts:
- Draft, review, and negotiate contracts, agreements, and legal documents.
- Ensure that all contractual agreements align with company policies and comply with relevant laws and regulations.
Compliance:
- Stay updated on changes in laws and regulations affecting the company.
- Develop and implement compliance policies and procedures.
- Conduct regular compliance audits and provide training to employees.
Risk Management:
- Identify and assess legal risks associated with business activities.
- Devise strategies to mitigate legal risks and ensure the protection of the company's interests.
Policy Development:
- Assist in the development and implementation of company policies.
- Ensure that policies are in compliance with applicable laws and regulations.
Training and Education:
- Provide legal training sessions to internal teams to enhance legal awareness.
- Keep employees informed about legal developments affecting the business.
Qualifications
- Bachelor's degree in Law (LLB) from a recognized institution.
Required Skills
- 5-7 years of experience in corporate, transactions and funds practice.
- Strong knowledge of Indian laws and regulations.
- Excellent communication, negotiation, and drafting skills.
- Ability to work independently and collaboratively with cross-functional teams.
- Proven experience in contract management, compliance, and risk assessment.
- Familiarity with corporate governance principles.
