We are seeking a highly skilled and dedicated Senior Legal Advisor to join our Merger & Acquisition Practice Team. This role involves providing expert legal and regulatory counsel to clients on matters pertaining to corporate law.
Key responsibilities include advising on due diligence processes, investment transactions, acquisition transactions, Reviewing Term sheets, Structuring and other related corporate matters. The ideal candidate will bring a deep understanding of M&A practices and demonstrate the ability to deliver strategic legal guidance in a dynamic and client-focused environment.
Duties & Responsibilities
• Review and structure term sheets, ensuring compliance with legal standards and alignment with transaction objectives.
• Assist in the negotiation and drafting of share subscription/ purchase agreements, shareholders' agreements, and other transaction-related documents.
• Conduct comprehensive legal due diligence to ensure compliance with statutory and regulatory requirements while identifying and mitigating potential risks in M&A transactions.
• Provide detailed legal opinions and strategic advice on corporate restructuring, mergers, and acquisitions to support transaction execution.
• Conduct research on applicable laws, case laws, procedures, and judicial precedents to support M&A transactions and ensure regulatory compliance.
• Lead client communications, including advising on M&A transaction strategies, resolving queries, and managing client expectations effectively.
• Liaise with stakeholders, including legal counsels, associates, and clients, to facilitate seamless execution of transactions.
• Handle online filings and procedural compliance related to submissions with relevant authorities. • Guide and mentor the legal team on the practical and technical aspects of M&A transactions, enhancing their expertise in corporate restructuring.
• Proactively manage cases by anticipating potential challenges, conducting regular follow-ups, and addressing legal interpretation and compliance matters.
• Provide timely updates and ensure clear communication with clients and stakeholders throughout the transaction lifecycle.
Education & Certification Qualifications
• Law degree from an accredited law school.
• Being a Company Secretary will be an added bonus
