Job Summary
We are seeking a highly analytical and detail-oriented
Senior Financial Analyst with up to 10 years of experience to join our dynamic finance team. The ideal candidate will possess a strong understanding of financial markets, corporate finance, and accounting principles, with specialized knowledge in
debt restructuring, asset management, capital raising, and legal frameworks related to financial distress.
The candidate must have
hands-on experience in debt and equity fundraising, including
independent debt raising for manufacturing businesses, real estate equity placements, IPO fundraising, public issues, private placements of shares, and structured capital transactions. Experience working with or within a
merchant banking environment is highly desirable.
This role is crucial for providing in-depth financial analysis, supporting strategic capital raising initiatives, managing restructuring mandates, and ensuring robust financial modeling and reporting.
Key Responsibilities
Financial Analysis & Modeling:
- Develop, maintain, and enhance complex financial models for valuation, forecasting, budgeting, and scenario analysis related to debt, equity, and asset restructuring.
- Conduct comprehensive P&L analysis, variance analysis, and trend analysis to identify key performance drivers, risks, and opportunities.
- Prepare detailed financial presentations and reports for internal stakeholders and external clients, focusing on capital structure, debt-equity analysis, and financial performance.
Debt & Equity Raising / Capital Markets
- Lead and support independent debt raising transactions, particularly for manufacturing and infrastructure projects.
- Manage and execute real estate equity placements and structured equity transactions.
- Assist in IPO fundraising, public issues, private placements, and share allotments.
- Coordinate with investors, financial institutions, NBFCs, merchant bankers, legal advisors, and regulatory bodies.
- Prepare Information Memorandums (IM), pitch decks, financial models, and investor presentations.
- Evaluate optimal capital structure strategies and fundraising options.
Merchant Banking & Transaction Advisory
- Support merchant banking activities including valuation, due diligence, compliance documentation, and regulatory filings.
- Assist in managing public issue processes, private placements, and related SEBI compliance requirements.
- Liaise with exchanges, merchant bankers, and intermediaries during transaction execution.
ARC & NCLT Expertise
- Apply in-depth knowledge of Asset Reconstruction Companies (ARC) and National Company Law Tribunal (NCLT) processes to analyze distressed assets, insolvency resolutions, and corporate restructuring cases.
- Support evaluation of stressed asset portfolios and develop recovery strategies.
Loan Documentation & Debt/Equity Analysis
- Review and analyze complex loan documentation, including covenants, terms, and compliance obligations.
- Conduct thorough capital structure assessments and restructuring impact analysis.
- Prepare clear and concise presentation materials explaining intricate debt and equity structures.
Accounting & Compliance
- Ensure accurate interpretation and application of accounting principles in financial reporting.
- Collaborate with accounting and legal teams to ensure regulatory and statutory compliance.
Ad-Hoc Projects & Strategic Support
- Provide analytical support for mergers, acquisitions, divestitures, and restructuring initiatives.
- Work cross-functionally with legal, operations, and business development teams to achieve financial objectives.
Qualifications
- MBA in Finance (Essential)
- 3–5 years of progressive experience in financial analysis, corporate finance, investment banking, merchant banking, or similar roles.
- Proven experience in:
- Debt and equity fundraising
- Independent debt raising for manufacturing projects
- Real estate equity placements
- IPO fundraising and public issues
- Private placement of shares
- Capital structuring and restructuring mandates
- Strong working knowledge of ARC and NCLT processes.
- Experience in merchant banking activities and regulatory compliance.
- Exceptional proficiency in financial modeling and advanced Microsoft Excel.
- Strong understanding of accounting principles and financial statements.
- Excellent analytical, problem-solving, and presentation skills.
- Ability to articulate complex financial concepts to senior stakeholders and investors.
