Job Description – Legal Counsel
Designation: Senior Executive/L2
Experience: 4–5 Years
Location: Gurgaon.
Role Overview
We are seeking a detail-oriented and proactive Legal Counsel with 4–5 years of relevant experience in contract drafting, review, and negotiation. The role involves supporting business teams in managing commercial agreements, ensuring contractual compliance, highlighting contractual risk, and coordinating with cross-functional stakeholders.
Key Responsibilities
- Draft, review, negotiate, and manage a wide range of commercial, client, vendor, procurement, technology, and operational agreements.
- Support end-to-end contract management activities, including contract intake, drafting, review, negotiation, execution, amendments, renewals, obligations and tracking.
- Identify contractual, legal, operational, financial, and compliance risks, and provide practical mitigation recommendations aligned with business objectives.
- Collaborate with business, finance, procurement, delivery, information security, privacy, and compliance teams to support contract execution and implementation.
- Ensure adherence to company policies, applicable laws, regulatory requirements, and client contractual obligations.
- Support client and vendor negotiations, including redlining and resolution of contractual issues in coordination with internal stakeholders.
- Maintain and manage contract repositories, trackers, approval workflows, and related documentation to ensure accurate record management and accessibility.
- Prepare contract summaries, deviation notes, risk assessments, reports, and management updates for internal stakeholders.
- Support audits, internal reviews, and compliance assessments related to contractual obligations and third-party engagements.
- Initiate and coordinate the contract execution/signature process upon completion of legal and business reviews.
- Ensure proper documentation, version control, filing, and record retention of all executed agreements and related contract documents.
- Continuously support process improvement initiatives related to contract lifecycle management and operational efficiency.
Required Skills & Qualifications
- Bachelor’s degree in law (LLB) or equivalent qualification.
- 4–5 years of experience in in reviewing technology, data privacy, outsourcing, or service agreements is preferred.
- Excellent drafting, negotiation, and communication skills.
- Ability to manage multiple contracts and stakeholders in a fast-paced environment.
- Strong analytical and problem-solving abilities.
Preferred Qualifications
- Experience working in IT/ITES, consulting, pharmaceutical, healthcare, or technology industries.
- Knowledge of data privacy laws, AI-related contractual provisions, and compliance frameworks is an added advantage.
