Job Overview: We are looking for an experienced and commercially astute corporate lawyer to join the Corporate & Commercial practice at Anand and Anand. The role requires strong experience in mergers & acquisitions, insolvency and restructuring matters, debt recovery, commercial licensing, and drafting and negotiation of complex commercial agreements including SLAs.
The ideal candidate should be capable of independently handling sophisticated transactions, advisory mandates, and client interactions in a fast-paced law firm environment.

Key Responsibilities:
- Advise clients on Mergers & Acquisitions, corporate restructuring, strategic investments, and related transactional matters.
- Conduct legal due diligence and assist in structuring, negotiating, and closing complex domestic and cross-border transactions.
- Handle insolvency, restructuring, bankruptcy, and debt recovery matters, including strategic advisory and related proceedings.
- Draft, review, negotiate, and finalize high-value commercial and transactional documentation, including but not limited to:
- Service Agreements
- Service Level Agreements (SLAs)
- Licensing and Technology Agreements
- Vendor and Collaboration Agreements
- Non-Disclosure Agreements (NDAs)
- Commercial and Business Contracts
- Provide strategic legal and regulatory advisory on corporate and commercial matters, including compliance and risk assessment.
- Attend client meetings and independently interact with domestic and international clients to understand business requirements, provide legal solutions, and manage ongoing mandates effectively.
- Liaise and negotiate with counterparties, consultants, regulatory authorities, and external stakeholders in connection with ongoing transactions and advisory mandates.
- Provide pre-litigation and dispute advisory support arising from contractual and commercial matters, where required.
- Independently manage client relationships and ensure efficient execution of mandates within timelines.
- Stay abreast of developments in corporate, commercial, insolvency, and regulatory laws relevant to the Firm’s practice areas.
- Actively contribute to strengthen client engagements, foster long-term professional relationships, and contribute to the growth of Firm’s corporate and advisory practice.
- Actively represent the Firm at client meetings, industry interactions, conferences, and networking platforms to reinforce the Firm’s reputation, expand its professional visibility, and uphold the standards of a leading Tier 1 law firm.

Desired Qualification & Experience
- LL.B. from a recognized institution; candidates from Tier 1 law schools will be preferred
- Minium 8 years of post-qualification relevant experience with a reputed law firm.
- Strong experience in Mergers & Acquisitions, Insolvency & Bankruptcy, Debt Recovery, Licensing & Commercial Contracts, SLA drafting and negotiations.
- Prior experience in handling high-value and cross-functional transactions will be an added advantage.
- Prior experience in client acquisition and client relationship management will be preferred.
