Key Responsibilities

As a Secretarial & Compliance Manager, you will lead and manage corporate secretarial assignments, including:

• Ensure full compliance under the Companies Act, 2013 for client companies.
• Review and file ROC forms: MGT-7, AOC-4, DIR-12, INC-22, etc.
• Draft, review, and vet notices, agendas, resolutions, and minutes of Board & General Meetings.
• Manage company incorporations, changes in directors/KMP, capital structure modifications, and related matters.
• Maintain statutory registers and oversee timely annual compliances.
• Independently handle Secretarial Audits and prepare Internal Due Diligence Reports.
• Liaise with MCA, RBI, and other regulatory authorities.
• Guide and review the work of junior CS trainees.
• Support in Trademark & IPR filings and provide client advisory when required.

Candidate Profile:

• Qualification: Company Secretary (CS).
• Experience: Minimum 2 years PQE in a Practising Company Secretary (PCS) firm (Mandatory).
• Strong working knowledge of ROC filings, corporate secretarial procedures, and MCA compliance.
• Exposure to Trademark and IPR filings will be an advantage.
• Excellent drafting, communication, and leadership skills.
• Must be willing to work full-time from Pimpri-Chinchwad, Pune.
• Immediate joiners or candidates willing to relocate will be preferred.
