Job Description
Manager - Financial Due Diligence & Valuation (Execution Lead - Experienced)
Location: Gurgaon (on-site only)
Firm Type: Boutique Advisory Firm (Transaction Advisory)
Reporting To: Partner
Experience: 5-7 years (hands-on FDD / valuation with team management experience)
About the Firm
Dawn & Dusk is a fast-growing boutique transaction advisory firm headquartered in India, with an active presence and live transactions spanning the USA, UAE, Qatar, and Saudi Arabia — and we’re just getting started.
We work with ambitious mid-market companies on M&A, fundraising, and cross-border transactions, delivering sharp financial due diligence, valuation, and deal analytics across sectors. Our team operates across geographies, advising founders, investors, and corporates who are shaping the next wave of value creation. We are a high-conviction, execution-first practice where every engagement matters and every team member leaves a mark on the deal.
Role Overview
We are looking for a Manager who can independently own and drive Financial Due Diligence (FDD) and valuation engagements end-to-end, build and lead a team of 5–7 members, and deliver high-impact, deal-ready insights for investors and management across India and international markets including the USA, UAE, Qatar, and Saudi Arabia.
This is a role for someone who thrives in the thick of it — someone who takes full ownership, runs hard on live deals, and brings the energy and rigour of a leader. You will work directly with partners with minimal hand-holding and maximum impact.
Is This You? (The Ideal Candidate)
If you're tired of being a small cog in a big machine, where your contribution gets lost in layers, or want to make the engagement come together end-to-end — this role is built for you. We’re looking for someone with an entrepreneurial hunger: someone who wants to get their hands dirty, grow alongside a fast-scaling firm, and be a core part of building something real. You will not just manage — you will shape the team, shape the practice, and shape your own growth story. If you want a seat at the table — not just a chair in the room — read on.
· 5-7 years with Tier 1 / Tier 2 firms in Financial Due Diligence & Valuation
· Strong experience in leading FDD engagements and managing multiple workstreams simultaneously.
· Experience in business valuation and financial modeling with strong understanding of key assumptions and drivers.
· Proven ability to manage and mentor a team of 5–7 members while ensuring quality and timelines.
· Strong Excel and structured report-writing skills (concise, deal-focused output).
· Comfortable in a fast-paced, client-facing environment with high ownership and attention to detail.
Key Responsibilities
· Lead buy-side / sell-side FDD engagements: scoping, data request lists, coordination and issue tracking.
· Review financial statement analysis and identify key drivers, anomalies, and risks (P&L, balance sheet, cash flow).
· Drive QoE analysis: review normalization adjustments, EBITDA bridge, and sustainability of earnings.
· Review working capital, net debt, and cash conversion analysis; identify seasonality, one-offs, and leakage items.
· Lead valuation assignments including financial modeling, assumption setting, and sensitivity analysis.
· Review accounting policies / revenue recognition and assess margin / concentration / related-party risks; highlight red flags.
· Manage team deliverables, conduct detailed reviews, and ensure high-quality output across all workstreams.
· Prepare and review concise diligence and valuation reports; present findings to clients and senior stakeholders.
· Act as a key point of contact for clients and manage day-to-day communication.
Qualifications & Skills
· CA (preferred) / MBA (Finance) / CFA or equivalent finance qualification.
· Strong understanding of accounting, financial statements, FDD concepts (QoE, WC, net debt), and valuation methodologies.
· Excellent Excel (financial modeling, data analysis, reconciliation) and strong PowerPoint / report writing.
· Strong team management, review, and client-handling skills.
· High ownership, attention to detail, and ability to manage multiple engagements simultaneously.
What We Offer
· Real deals, real stakes — you’ll own live engagements across India, USA, UAE, Qatar, and Saudi Arabia with direct partner access and zero bureaucracy.
· A genuine leadership mandate — you will build, mentor, and grow your own team and have a say in how we scale the practice.
· Cross-border exposure that most peers at your level simply won’t get — international clients, diverse sectors, high-complexity mandates.
· Merit-driven, fast-track growth — we reward output, not optics. If you perform, you rise. No politics, no waiting in line.
