Manager Secretarial & Compliance
Location: BKC Mumbai
Reporting to CS & SVP - Compliance
Key Responsibilities
- Ensure compliance with Companies Act, SEBI LODR, RBI Directions, and all other
laws applicable to High Value Debt Listed NBFCs.
- Prepare and file timely and accurate disclosures, documents, and intimations with
stock exchanges, MCA, RBI, depositories, and other authorities.
- Handle and coordinate the regulatory inspections.
- Oversee compliance audits and inspections; coordinate with internal and external auditors.
- Prepare agendas, notices, resolutions, and minutes for Board, Committee, and General Meetings (AGMs/EGMs).
- Monitor regulatory changes and communicate their implications to management; draft, review, and update company policies accordingly.
- Support issuance of NCDs, CPs, and other instruments, ensuring compliance under SEBI regulations.
- Stay abreast of changes in applicable laws, regulations, and industry practices
- impacting infrastructure finance and NBFC sectors.
Experience
Minimum 3 years of relevant post qualification experience in the secretarial and
regulatory compliance domain, preferably in the NBFC or financial services sector.
Demonstrated experience in handling Board processes, RBI inspections, regulatory
filings, and compliance frameworks.
Educational Qualification
- Qualified Company Secretary (CS) from the Institute of Company Secretaries of
India (ICSI).
- Additional qualifications such as LLB will be an added advantage.
Functional Competencies
- In-depth understanding of Companies Act, SEBI LODR, RBI Directions, and related
regulations.
- Strong knowledge of corporate law, SEBI regulations, and governance standards.
- Expertise in drafting, reviewing, and updating company policies, board agenda,
minutes and other legal documents.
- Experience in handling compliance audits, regulatory inspections, and secretarial
functions.
