Basic Job Functions:
This position will handle the entire compliance and corporate secretarial matters for First Solar entities in India inhouse in a dynamic international business environment.
Education/Experience:
- Qualified Company Secretary from the Institute of Company Secretaries of India
- 12-15 years of work experience in Compliance Functions/ Departments in:
- reputed law firms, or
- Big Four consulting firms and/ or
- in a manufacturing business environment.
Required Skills/Competencies
- Promoting a compliance culture in a way that encourages and insists upon ethical conduct and a commitment to compliance with all with high integrity
- Sharp, detail-oriented and diligent in the execution of the tasks given.
- Strong fluency in both written and spoken business English.
- Excellent oral and written communication skills and distinctive sense of commercial thinking.
- Desire to work as part of a global team in a fast-paced environment.
- Strong organizational skills and being good at managing and prioritizing numerous projects to meet demanding deadlines.
- Self-motivated, independent, a team player, dependable and detail-orientated, having the ability to work across functions and departments – in domestic as well as international environments.
Essential Responsibilities
- Subject matter and in-depth expertise in corporate secretarial matters and extensive knowledge of laws and regulations governing companies (more specifically Companies Act, 2013), FEMA, RBI regulations, Competition Regulations, INCOTERMS, etc.
- Managing periodic and event-based corporate compliances such as e.g.:
- In light of the business decisions and approvals to be taken, preparing agenda, notices, shorter notice consent letters, resolutions and minutes of board, general and committee meetings.
- Preparing notices, explanatory statement for business items, annual report including directors’ report.
- Maintenance of statutory records and registers as required under the provisions of the Companies Act, 2013.
- Handling RBI, DIPP and MCA filings w.r.t. increase in authorized share capital, issued and paid capital, allotment of shares, alteration of articles of association, change of directors, change of registered office, annual filings, FC-GPR, FC-TRS, etc.
- Liaison with ROC, RBI, DIPP, NSDL and DPs.
- Analysing and advising on legal and procedural matters under the Companies Act, 2013.
- Ensuring that all required documentation is maintained and filed as per statutory requirements and are up to date.
- Mergers/ demergers and internal restructuring
- Implement updated the company’s global compliance programs including, but not limited to: Anti-Corruption and Bribery (FCPA and relevant country codes); Data Privacy, Antitrust, Scope of Authority; Code of Conduct; Donations; Confidentiality and Non-Disclosure Agreement compliance; Gifts & Entertainment and enforce compliance by conducting frequent training and awareness programs – internally and externally as needed.
- Coordinate and work closely with Global Compliance Teams in relation to internal and external compliance and internal control related audits.
- Implement the global compliance training plan for the company; identify trainings needs based on risk assessment; maintain a consistent, global approach for compliance trainings, automation, and monitoring of adherence to global compliance programs.
- Extensive understanding and practical knowledge of inbound and outbound investment and funding regulations, implications, including downstream investment compliance requirements and filings.
- Driving a compliance culture by collaborating with various teams for ensuring compliance of laws applicable to the manufacturing business operations; streamlining/ monitoring the compliance management framework
- Superior ability to understand First Solar's manufacturing business process structures in India and analyze and implement timely any related compliance works
- Coordinating with internal colleagues (functional and business) and external counsels/ advisors to understand the business activities, manage compliances and timely escalation of breaches or potential breaches or implications to the Assistant General Counsel India.
- Supporting the interim and annual audit processes and procedures, close coordination with accounts and finance departments, responding to audit queries and observations, and ensuring timely completion of annual audit.
- Collaborating with various functional teams in making necessary applications, obtaining necessary registrations and licenses for First Solar’s Indian companies, manufacturing operations, projects and businesses, coordinate with internal and external stakeholders for that purpose.
- Keeping a track on statutory, corporate and contractual compliances, and submitting periodic status reports thereon.
- Ensuring compliance with corporate laws and regulations in India, identifying risk areas and suggesting remedial mitigation measures to avoid any non- compliance with those laws and regulations.

- Reports to Asst General Counsel
Travel:
- 0% - 5% (On occasion/as needed for training, etc.)

- 20/40 vision in each eye, with or without correction, is required.
- Must be able to comply with all safety standards and procedures.
- May reach above shoulder heights and below the waist on a frequent basis.
- May stoop, kneel, or bend, on an occasional basis.
- Ability to wear personal protective equipment is required (including but not limited to; steel toed shoes, gloves, safety glasses, hearing protection, protective jacket or apron and arm guards).
- All associates working on the production floor may be required to wear a respirator at any given time and thus, the ability to wear a respirator is a condition of employment and continued employment (requires little or no facial hair).
Office Physical Requirements:
All positions in our office require interaction with people and technology while either standing or sitting.
