Key Responsibilities:
- Regulatory Compliance: Ensure compliance with the Companies Act, SEBI regulations, and other statutory requirements relevant to the steel and power sectors. Liaise with the Registrar of Companies and other regulatory bodies.
- Board Meetings: Organize board and committee meetings, including preparation of agendas, notices, minutes, and resolutions in compliance with legal and regulatory standards.
- Corporate Governance: Advise the board and senior management on governance best practices and ensure adherence to corporate governance norms.
- Statutory Filings: Manage all statutory filings with MCA and other regulatory bodies, including annual reports, returns, and other documentation within prescribed timelines.
- Liaison: Act as the key liaison with regulatory authorities, auditors, and legal advisors to address compliance matters and avoid penalties.
- Policy Development: Develop and implement policies related to corporate governance, ethics, and compliance, ensuring alignment with industry standards.
- Stakeholder Management: Maintain effective communication with stakeholders, managing dividends, share transfers, and other stakeholder interactions as and when required.
- Records Maintenance: Maintain statutory registers, records, and minutes of meetings, ensuring accuracy and compliance.
- Risk Management: Identify legal and compliance risks, providing proactive solutions and strategies for risk mitigation.
- Support to Strategic Initiatives: Provide legal and secretarial support for mergers, acquisitions, and other strategic initiatives within the group.
Candidate Profile:
- Qualifications: Qualified Company Secretary (CS) with membership in the Institute of Company Secretaries of India (ICSI).
- Experience: Minimum of 5-7 years in a similar role, preferably in the steel, power, or related heavy industries.
- Skills: In-depth knowledge of corporate laws, governance, and compliance specific to the steel and power sectors. Strong problem-solving and decision-making skills.
- Personal Attributes: Assertive, detail-oriented, and capable of operating in a fast-paced, regulated environment. Strong interpersonal and communication skills.
- Travel: Willingness to travel to various plant locations as needed.
