KEY RESPONSIBILITIES
Corporate & Secretarial Compliance
• Manage end-to-end corporate and secretarial compliances under the Companies Act, 2013.
• Conduct Board Meetings and General Meetings including preparation of notices, agendas, resolutions, and minutes.
• Maintain statutory registers, records, and filings with the Registrar of Companies (ROC) within prescribed timelines.
Regulatory & FEMA Compliance
• Handle FEMA, RBI, and regulatory compliances including FC-GPR, FC-TRS, and related filings.
• Coordinate with banks, consultants, auditors, and regulatory authorities for statutory matters and approvals.
Legal & Contract Management
• Draft, review, negotiate, and manage legal agreements, contracts, and corporate documentation.
• Support legal matters including litigation coordination, dispute resolution, and compliance audits.
• Conduct due diligence and support risk management initiatives for corporate transactions.
Governance & Policy Implementation
• Ensure implementation and monitoring of corporate governance policies and internal compliance frameworks.
• Monitor and ensure compliance with POSH policies, HR policies, and other applicable statutory regulations.
• Provide compliance advisory to senior management and the Board on evolving regulatory requirements.
QUALIFICATIONS & SKILLS
Essential
• Qualified Company Secretary (CS) from The Institute of Company Secretaries of India (ICSI).
• Strong knowledge of the Companies Act, 2013, FEMA, RBI regulations, and related statutes.
• Relevant experience in corporate compliance, secretarial, and legal functions.
• Excellent drafting skills for legal documents, board resolutions, agreements, and minutes.
Preferred / Added Advantage
• LL.B. qualification will be an added advantage.
• Prior exposure to FEMA/FDI compliances, cross-border transactions, and due diligence processes.
• Experience liaising with NCLT, ROC, RBI, SEBI, and other regulatory authorities.
