About the Company
The Commercial & Contracts Manager will own end-to-end contracting across client and vendor engagements, including drafting, negotiating, and executing agreements. This role is accountable for ensuring that all contracts are commercially optimized, legally sound, and aligned with business objectives. The individual will act as the single point of ownership for all contractual matters, working closely with Sales, Delivery, Finance, and leadership to drive deal closure and protect organizational interests.

The Commercial & Contracts Manager will own end-to-end contracting across client and vendor engagements, including drafting, negotiating, and executing agreements. This role is accountable for ensuring that all contracts are commercially optimized, legally sound, and aligned with business objectives. The individual will act as the single point of ownership for all contractual matters, working closely with Sales, Delivery, Finance, and leadership to drive deal closure and protect organizational interests.
Responsibilities
Contract Ownership & Negotiation (Core Accountability)
- Own the full contract lifecycle from drafting to execution for both client and vendor agreements
- Lead commercial and contractual negotiations with clients and vendors
- Independently review, redline, and finalize MSAs, SOWs, NDAs, Change Orders, and Amendments
- Ensure favorable positioning on liability, indemnity, payment terms, SLAs, penalties, and termination clauses
- Drive closure of contracts in line with business timelines
Contract Drafting (Client & Vendor)
- Prepare contracts from scratch using standard templates and customize as required
- Create client-facing agreements (MSA, SOW, Change Requests) aligned with deal commercials
- Draft vendor contracts, service agreements, and NDAs ensuring back-to-back protection
- Standardize and continuously improve contract templates and clause libraries
Commercial Structuring & Deal Support
- Partner with Sales to structure deals commercially (T&M, Fixed Price, Outcome-based)
- Ensure commercial terms are enforceable through contract language
- Identify risks during deal stage and propose mitigation strategies in contract terms
Purchase Orders & Revenue Governance
- Ensure alignment across Contract ↔ SOW ↔ PO ↔ Invoice
- Drive timely issuance and validation of client POs
- Define billing milestones and triggers within contracts
- Prevent revenue leakage through tight commercial controls
Vendor Contracting & Cost Governance
- Own vendor negotiations and contracting lifecycle
- Ensure back-to-back contracting with clients to protect margins and liabilities
- Manage vendor POs / service orders and commercial terms
- Optimize vendor costs through negotiation and structuring
Risk, Compliance & Governance
- Act as the first line of defense on contractual risk
- Escalate and manage deviations from standard terms
- Ensure contractual compliance across delivery lifecycle
- Maintain audit-ready documentation and approvals
Contract Lifecycle Management (CLM)
- Maintain repository of all contracts, amendments, and obligations
- Track key milestones, renewals, and obligations
- Drive process discipline and governance across regions
Qualifications
- Bachelor’s degree in Law, Business, or Finance
- LLB
Required Skills
- Strong experience in contract drafting and negotiation (hands-on, not advisory only)
- Deep understanding of commercial constructs in IT/consulting deals
- Ability to independently handle client negotiations
- Strong grasp of legal clauses and risk implications
Preferred Skills
- Experience in IT Services / Consulting / Data & AI firms
- Exposure to global contracting (APAC, US, Europe)
- Prior role involving direct client/vendor negotiation ownership
