Job Description – Legal Associate

Role Overview
We are looking for a Legal Associate with 1–2 years of experience to join our legal team. The candidate will support the drafting, review, negotiation, and management of a variety of commercial agreements while ensuring that Orbicular's legal and business interests are adequately protected. This role offers an opportunity to work closely with cross-functional teams and gain exposure to complex transactions in the pharmaceutical and life sciences industry.
Key Responsibilities
- Review, redline, negotiate, and manage commercial contracts, including confidentiality agreements, service agreements, licensing agreements, manufacturing agreements, supply agreements, and collaboration agreements.
- Draft new agreements and update existing contract templates in line with business requirements and evolving legal standards.
- Conduct legal research on contractual provisions, industry practices, regulatory requirements, and risk mitigation strategies.
- Identify, assess, and communicate contractual and legal risks, along with practical recommendations for resolution.
- Prepare contract summaries, risk assessments, and briefing notes for internal stakeholders and management.
- Maintain and organize the contracts repository, including tracking contractual obligations, milestones, renewals, and notice periods.
- Coordinate with Business Development, R&D, Finance, Regulatory, and other internal teams to ensure contractual alignment with business objectives.
- Support negotiations with customers, vendors, partners, and service providers.
- Ensure compliance with company policies, applicable laws, and regulatory requirements.
- Assist in developing and improving contract management processes, templates, and internal legal procedures.
- Support senior legal counsel on strategic legal and commercial matters as required.
Qualifications & Skills
Educational Qualification:
LL.B. (3-year or 5-year course) from a recognized law school/university.
Experience:
1–2 years of experience in contract drafting, review, and negotiation, preferably in a corporate legal department, law firm, or pharmaceutical organization.
Skills:
- Strong understanding of commercial contracts and contractual risk allocation.
- Excellent drafting, reviewing, interpretation, and negotiation skills.
- Strong analytical and problem-solving abilities.
- Effective communication and stakeholder management skills.
- High attention to detail and ability to manage multiple assignments simultaneously.
- Ability to work independently while collaborating effectively within a team environment.
- Proficiency in MS Office (Word, Excel, PowerPoint).
