A leading global proprietary trading firm with a strong presence across global financial markets is looking to hire a Legal Counsel for its Mumbai office. The firm operates at the intersection of advanced research, quantitative finance, and technology, and partners with leading research organisations and universities globally.
This role will support the broader legal and compliance function with regulatory research, contract review, and day-to-day legal workflows, working closely with internal stakeholders and external counsel.
Key Responsibilities
- Track SEBI, IFSCA (GIFT City), NSE/BSE/MCX, RBI, and other applicable regulatory updates; prepare concise research notes and impact summaries.
- Update and maintain compliance manuals, policies, and procedure documents.
- Draft and edit legal memos, policies, SOPs, board and executive briefings, and responses to regulator and exchange inquiries.
- Review, redline, and negotiate routine agreements (NDAs, vendor agreements, MSAs, and other commercial contracts).
- Maintain contract trackers (including CLM tools) and ensure version control and organised records.
- Coordinate document collection, diligence, and signatures (DocuSign/wet-ink); manage DMS and data rooms.
- Liaise with cross-functional teams to gather inputs and close open items on time.
- Work with external counsel on specialised matters; prepare instructions, collate facts, and summarise advice for business teams.
- Support trade surveillance and legal-compliance alignment by translating legal requirements into clear procedures and checklists.
- Assist with incident and investigation write-ups and prepare audit-ready evidence packs.
- Support corporate housekeeping and filings alongside the Company Secretary and compliance teams.
Requirements
- LL.B. (or integrated 5-year law degree) from a recognised university; strong academic record.
- 5 to 10 years PQE in an in-house legal team or top-tier law firm, with meaningful exposure to SEBI regulatory work and algorithmic/electronic trading.
- Strong understanding of securities and markets regulation (SEBI, IFSCA, exchange rules) and financial services documentation.
- Excellent written and spoken English; able to draft crisp memos, emails, and contract edits independently.
- Solid legal research skills (SCC Online/Manupatra/Lexis/Westlaw) and the ability to synthesise rules into practical guidance.
- Proficiency with MS Word (track changes/redlines), Excel, and PowerPoint; comfort with DMS/CLM tools.
- Strong organisation and attention to detail; ability to manage multiple matters and meet tight deadlines.
- High integrity and discretion in handling confidential information.
Nice to Have
- Exposure to data privacy (India DPDP Act, GDPR basics), IP and technology licensing.
- Familiarity with collaboration tools (Jira/Confluence, Slack) and e-signature platforms.
- Understanding of how proprietary trading firms operate within Indian securities markets.
- Additional credentials such as ICSI coursework or NISM Certification for Securities Intermediaries Compliance.
