Position Title: Legal Counsel – Contracts
Location: Noida, India
Key Responsibilities
- Draft, review, and negotiate a broad range of commercial and corporate contracts, including NDAs, MOUs, vendor and service agreements, consultancy agreements, sale and purchase agreements (SPAs), and other business-critical legal documentation.
- Support the business and functional teams by providing clear, commercially practical legal advice on contract terms, risk allocation, and compliance.
- Manage end-to-end contract life cycle drafting, negotiation, execution, renewal, and archiving ensuring consistency with company policies and applicable legal frameworks.
- Coordinate with internal stakeholders (procurement, finance, operations, and project teams) to align contractual positions and ensure timely execution of agreements.
- Identify legal and commercial risks in contracts, propose mitigation strategies, and maintain templates and standard operating procedures to improve efficiency.
- Stay updated on legal and regulatory developments affecting contractual operations and communicate key updates to relevant stakeholders.
Key Requirements
- LL.B. from a recognised Indian university; LL.M. or additional qualification in corporate or contract law is an advantage.
- 2–3 years’ post-qualification experience in contract drafting and negotiation within a law firm or in-house legal team.
- Proven experience handling various commercial and corporate contracts (e.g., NDAs, SPAs, vendor/service agreements, and consultancy contracts).
- Strong legal drafting, analytical, and negotiation skills with excellent attention to detail.
- Sound understanding of Indian contract law and commercial practices; exposure to cross-border contract work is a plus.
- Excellent written and verbal communication skills, proactive work ethic, and ability to manage multiple contracts simultaneously in a fast-paced environment.
