Introduction to GP-led Investments

GP-led transactions typically refer to the sale of one or multiple assets from a mature fund to a new vehicle (the “Continuation Vehicle” or “CV”) that the existing General Partner (the “GP” or “Sponsor”) continues to manage. Such transactions allow GPs to further maximize the value of selected assets by providing them with additional time beyond the term of the fund and often additional capital. At the same time, GP-leds offer Limited Partners (“LPs”) invested in a GP's legacy fund the opportunity to either receive liquidity when the asset is sold to the CV or transfer their stake to the new vehicle. Secondary investors like KHP step in, due diligence and price the asset(s) and provide the necessary capital to fund the transaction. A GP-led due diligence looks at the asset(s) and its market(s) in great depth, similar to a direct investment due diligence.

 

Responsibilities/What you will learn:

The Intern’s main responsibility is to assist the GP-led secondary private equity investment team in conducting due diligence on investment opportunities and to take care of any relevant tasks that accompany the investment team’s activity. Specifically, the Intern’s role involves amongst others:


  • Develop a basic understanding of the deal dynamics involved in a GP-led transaction, spanning across the interaction with transaction intermediaries and General Partners, due diligence and pricing of the underlying assets, internal investment decision making processes and the closing of a transaction
  • Gain analytical skills for assessing the long-term viability of companies, the market for their products/services, their financing needs, and their exit options
  • Learn to utilize S&P Capital IQ and Pitchbook databases to perform company and industry analysis (e.g., public and transaction comps)
  • Conduct high level screenings of new deal opportunities and present them to the global GP-led team
  • Support preparation and analysis of the investment memorandum to be presented to Kline Hill’s GP-led investment committee
  • Help manage the deal pipeline through the company’s database 


Job Skills and Abilities:  

  • Strong written and verbal communication skills; fluency in English is required
  • Should possess a strong work ethic, exceptional analytical ability, and high level of attention to detail
  • Organization skills with ability to prioritize time-sensitive assignments
  • Self-starter that will thrive in an entrepreneurial and small team environment
  • Demonstrated interest in private equity and investment management, financial analysis and valuation techniques
  • Understanding of financial statements, valuation methodologies and capital structures
