Senior Manager / DGM – International Finance & Treasury

Role Purpose
To lead and manage the organization's international finance, treasury, regulatory compliance, and overseas business support functions across multiple geographies. The role will be responsible for ensuring efficient management of cross-border financial transactions, overseas entity operations, FEMA compliance, banking relationships, project funding support, and financial governance for international business operations.
The incumbent will play a critical role in supporting the company's expansion and execution of international projects through robust financial planning, regulatory compliance, and stakeholder management.
Key Responsibilities
International Finance & Treasury Management
- Manage end-to-end international finance activities for overseas projects, branch offices, subsidiaries, and joint ventures.
- Structure and oversee cross-border financial transactions in compliance with applicable regulations.
- Monitor international cash flow, fund movements, working capital requirements, and treasury operations across multiple jurisdictions.
- Coordinate foreign currency transactions, hedging strategies, exchange risk management, and repatriation of funds.
- Ensure efficient utilization of banking facilities and treasury instruments for international operations.
FEMA / RBI Regulatory Compliance
- Ensure full compliance with FEMA, RBI regulations, ODI (Overseas Direct Investment), OPI and other applicable foreign exchange regulations.
- Handle reporting requirements relating to:
- Overseas subsidiaries
- Branch offices
- Joint ventures
- Cross-border investments
- Foreign remittances
- ECBs and related transactions
- Liaise with Authorized Dealer (AD) Banks for approvals, filings, documentation, and regulatory submissions.
- Coordinate with statutory auditors and regulatory authorities on FEMA-related matters.
Overseas Entity Management
- Support establishment and closure of:
- Overseas Branch Offices
- Representative Offices
- Subsidiaries
- Joint Ventures
- Manage financial governance, reporting, and compliance for overseas entities.
- Ensure compliance with local statutory requirements and financial regulations in overseas jurisdictions.
International Project Finance Support
- Provide financial support for international EPC projects across regions such as:
- Africa
- South America
- Middle East
- Other emerging markets
- Evaluate project financial structures and funding requirements.
- Support bid finance, bank guarantees, performance guarantees, LC arrangements, and project mobilization funding.
- Review commercial terms, payment structures, and financial risks associated with international contracts.
Banking & Financial Institution Management
- Develop and maintain strong relationships with:
- Authorized Dealer (AD) Banks
- Export Credit Agencies
- Financial Institutions
- Multilateral Agencies
- Manage:
- Bank guarantees
- Letters of Credit
- Foreign currency accounts
- Trade finance facilities
- International banking arrangements
Consultant & Stakeholder Coordination
- Coordinate with:
- FEMA consultants
- Tax advisors
- Legal advisors
- International auditors
- Banking partners
- Obtain regulatory approvals and support complex international transactions.
- Ensure seamless coordination between corporate office and overseas entities.
Financial Reporting & Governance
- Review and consolidate financial information from overseas operations.
- Monitor project profitability, cash flows, and financial risks.
- Prepare management reports, dashboards, and presentations for senior leadership.
- Strengthen financial controls and governance across international operations.
Desired Candidate Profile
Education
- Chartered Accountant (CA) – Mandatory
- MBA (Finance) / CFA – Preferred
Experience
- 10–15+ years of relevant experience in International Finance & Treasury.
- Experience in EPC, Infrastructure, Construction, Engineering, Power, Oil & Gas, or Project-based organizations.
- Hands-on experience in managing overseas subsidiaries, branches, and international project finance.
- Strong exposure to FEMA regulations and RBI compliance.
- Experience in dealing with multiple geographies such as:

Ideal Candidate Background
Preference will be given to candidates having experience with leading EPC / Infrastructure organizations having international operations across Africa, South America, Middle East, or other emerging markets and strong working relationships with AD Banks, consultants, and regulatory authorities.
