Job Description
As a Head of Legal, you will provide professional legal advice, legal leadership, strategy, and risk management through knowledge and experience, and help develop compliance systems and processes for all operations and all areas of the business in conjunction with functional and business leaders in the countries and with appointed external legal advisors to ensure that all operations in various geographies comply with the law.
Key Deliverables
- Provide and set strategic direction and sound, balanced legal advice on a wide range of corporate commercial matters, including accountability for corporate compliance and legal issues and oversight for various legal, regulatory, and government affairs related matters.
- Provide guidance and advice on product developments and approval on marketing claims and marketing materials in various geographies.
- Review and participate in the negotiation, review, and approval of material contracts, proactively ensure compliance in all areas of laws and contractual agreements, have preventive measures in place, ensure legality of all significant contracts (in particular regarding third party contractors, distributors, purchasing, employment, compensation, etc.), and advise on employment-related issues such as termination, severance, mutual separation, outsourcing arrangements, and employment templates.
- Participate in negotiation and advice, and be involved in the preparation of documentation for mergers, disposals, restructures, strategic alliances, and acquisitions of companies.
- Participate, assist, and liaise with corporate functional departments on key technical service fee agreements, professional consultancy/services agreements, licensing, and assignments, as well as in dealing with third parties in matters of conflict and settlement.
- Be actively involved in managing potential litigation to ensure that the companys interest is protected, advise and assist business partners in negotiations with third parties, and assist as appropriate in concluding settlements.
- Work with external counsel to manage IP enforcement programs.
- Ensure that all material legal and compliance related issues are approved in accordance with company policies and guidelines, and act as the Company Secretary to ensure corporate governance of the operations.
- Develop and maintain relationships with relevant external contacts and organisations (e.g., external lawyers, lawyers of key customers/competitors, governmental organisations, regulators, trade/industry associations, external bodies, etc.), and identify work to be outsourced, including the selection and management of external lawyers, their fee arrangements, and service levels.
- Develop and conduct training programs for non-legal functions on contractual, intellectual property, and marketing law issues where necessary.
- Establish a strong business partnership based on trust.
The Essential Requirements
- Law Degree from a recognized university in India or an Asia Pacific country and admitted as a qualified lawyer in India.
- 8 - 13 years of experience post-qualification in medium or large private practice (law firm) or MNC (in-house), preferably both.
- Excellent command of both spoken and written Hindi and English.
- Experience providing legal counsel on a wide variety of corporate/commercial matters.
- Experience drafting and negotiating agreements.
- Initiative and creativity in seeking solutions to problems, with the ability to work independently and as part of a diverse team.
- Strong drive and commitment to deliver results.
- Strong compliance/commercial experience; prior FMCG experience will be a plus, but not necessary.
- Highest ethical standards, with a commitment to promote ethical behavior and high professional integrity.
