Title: INDIA Business / Legal Transformation Manager
Location: Mumbai/ Bangalore/ Gurgaon/ Chennai
Ideal Candidate Profile
- This role is best suited to candidates from corporate restructuring, M&A integration, finance transformation, tax advisory, legal operations, corporate governance, business transformation, Big Four advisory or management consulting backgrounds.
- The role should not be positioned as a traditional PMO role; the strongest candidates will combine operational execution capability with finance, legal and tax appreciation.
Preferred Experience
- 10+ years experience in one or more of: legal entity rationalisation, corporate restructuring, business integration, M&A integration, finance transformation, operating model transformation, management consulting, corporate governance, tax or legal operations.
- Strong appreciation of how legal entity structures impact finance, tax, legal, HR, technology and operational activities in a multinational organisation.
- Experience coordinating complex cross-functional initiatives involving, senior stakeholders and external advisors.
- Ability to drive execution in matrix organisations through influence, structured problem-solving and practical business judgement.
- Experience managing external advisor budgets and spend governance across, including approval processes, budget tracking, forecast management, invoice approvals, vendor payment oversight, and monthly financial reporting.
- Strong negotiation, stakeholder management and communication skills, with the ability to frame decisions, risks and trade-offs for senior leaders.
Success Measures
- Delivery of agreed legal entity rationalisation outcomes, including entity integrations, mergers, business transfers or liquidation activities.
- Effective management of legal, tax, finance, regulatory and operational dependencies.

Highly Desirable:
Experience with legal entity consolidations, business transfers, contract novations, entity mergers, liquidations, separations or post-merger integrations.
- Familiarity with India regulatory, corporate governance and legal entity requirements.
- Experience working with external legal, tax, accounting or consulting advisors.
- Experience managing business transitions involving people, customers, vendors, systems, contracts and operating processes.
- Practical understanding of business processes, operating models and enterprise systems, with the ability to identify simplification opportunities and effectively bridge conversations between business, operational and technology teams
- Background or qualification in Accounting, Finance, Legal, Tax, Corporate Secretarial, Consulting, Transformation or a related business discipline.
- Project or programme management experience is useful, but should be seen as an enabling capability rather than the primary requirement for the role.
- Manage the operational execution of the INDIA Legal Entity Rationalisation (LER) programme across multiple countries, driving simplification of the operating model through legal entity consolidation, business integration and operational transition activities.
- Act as the central coordinator across Legal, Finance, Tax, HR, Operations and Technology teams to deliver entity mergers, business transfers, contract novations, employee migrations, operational transfers and entity closures.
- The primary focus of the role is business integration, finance/legal/tax coordination, stakeholder alignment and practical issue resolution. Programme management disciplines remain important, but are an enabling capability rather than the core purpose of the role.
Key Responsibilities
Business Integration & Operational Execution
- Manage execution of INDIA legal entity rationalisation initiatives, including entity consolidations, business transfers, integrations and liquidations.
- Coordinate activities required to transition customers, employees, vendors, contracts, assets, processes and business operations into target operating entities.
- Coordinate ERP, finance and operational system readiness activities, including master data migration, organisational structure updates, reporting configuration, systems interfaces and cutover planning.
- Ensure customer, supplier and operational continuity throughout transition activities with minimal disruption to revenue generation, billing, collections, procurement and service delivery.
- Identify operational dependencies, execution risks and integration challenges across countries and functions, and drive resolution with accountable owners.
- Ensure operational readiness for agreed transition activities, including country-specific cutover, migration and post-transition stabilisation requirements.
- Support development and execution of country transition and integration plans, with clear ownership, decision points and issue escalation.
- Identify opportunities to simplify business processes and supporting systems as part of LER activities, ensuring operating complexity is reduced or, at minimum, does not increase following entity consolidation and business transfer activities
- Oversee post-transition stabilisation activities, ensuring operational issues are resolved and business-as-usual ownership is successfully established.
Finance, Tax & Corporate Restructuring
- Partner with Finance, Tax and Controllership teams to support business transfer, integration and entity closure activities.
- Coordinate inputs impacting financial reporting, statutory obligations, treasury arrangements, intercompany structures, audit requirements and balance sheet transfers.
- Ensure finance workstreams deliver Day 1 and post-transition readiness, including financial close processes, banking transitions, treasury activities, compliance reporting and audit requirements.
- Coordinate transfer of assets, liabilities, contracts, employees and operating balances to support legal and operational restructuring objectives.
- Support benefits tracking and realisation, including operational simplification, cost reduction opportunities, control improvements and reduced entity complexity.
- Coordinate tax and regulatory dependencies to support compliant execution and minimise implementation risk.
Legal & Corporate Governance
- Partner with Legal teams and external advisors to support contract novations, business transfer agreements, amalgamations, entity mergers, liquidations and related corporate actions.
- Coordinate statutory, regulatory, corporate governance and compliance requirements associated with legal entity changes across INDIA jurisdictions.
- Assess key financial, operational and compliance controls impacted by LER activities and coordinate remediation of identified control gaps.
- Ensure legal, compliance and regulatory dependencies are identified, sequenced and addressed within agreed timelines.
- Support preparation of papers, recommendations and approval materials for executive governance forums, including clear decisions required and escalation items.
Stakeholder Leadership & Change Coordination
- Build alignment across country leadership teams and functional stakeholders to deliver agreed LER outcomes.
- Influence and coordinate stakeholders across Finance, Legal, Tax, HR, Operations, Technology, external advisors and Group teams without direct reporting authority.
- Facilitate cross-functional decision-making and resolve issues that span multiple countries, functions or governance forums.
- Lead customer, employee and supplier transition planning, including communications, consent management, stakeholder engagement and operational readiness.
- Support employee, customer and vendor transition activities, including communications, consent management and operational readiness.
Programme Coordination & Reporting
- Maintain integrated delivery plans, key milestones, dependencies, risks and decisions to support transparent execution.
- Coordinate regional and country-level governance activities, workshops and stakeholder forums.
- Provide concise, transparent reporting to programme sponsors and executive stakeholders, including risks, decisions required and trade-offs.
- Manage external advisor engagement and support programme budgeting and vendor administration activities.
- Drive end-to-end execution of the INDIA LER program within India.
- Drive alignment and decision-making across Finance, Legal, Tax, IT, HR, Operations within India leadership teams to ensure timely delivery of program objectives.
- Manage country-level external legal and tax advisory spend within the approved LER budget, including obtaining Regional funding approvals, monitoring commitments and actual spend, and ensuring timely processing and payment of vendor invoices in accordance with company policies
- Coordinate and host India LER governance meetings.
- Act as the central coordination point between India functions, external advisors, and APAC stakeholders.
- Manage program documentation, reporting packs, dashboards, and management updates.
- Prepare and facilitate India and APAC Steering Committee and executive governance meetings, providing clear recommendations, decision points, and escalation where appropriate.
