Today, more than $40 billion of home interior material purchases are controlled by Interior Designers and Studios, yet procurement remains fragmented across multiple suppliers with unreliable fulfilment and limited visibility. Mission of the Role
The Head of M&A will lead Gravity's deal-origination and execution engine — identifying, evaluating, structuring and closing acquisitions, joint ventures and strategic partnerships with promoter-led businesses across the home interiors and renovation value chain. Working directly with the founders, this person will build a proactive acquisition pipeline, lead diligence and negotiations, drive transactions to signing and closing, and own value realization after the deal. This is a hands-on, builder's role at the intersection of deal-making, industry relationships and disciplined execution.
What You'll Own
1. Deal Sourcing & Pipeline Development
- Build and continuously refresh Gravity's acquisition and partnership pipeline across laminates, surfaces, hardware, kitchens, wardrobes, lighting and adjacent interior-materials categories.
- Proactively identify, map and engage promoter-led manufacturers, distributors and regional businesses — through a structured deal-sourcing engine, not inbound opportunities alone.
- Build direct relationships with promoters, family offices, brokers, industry associations and channel partners to surface proprietary opportunities ahead of competitors.
2. Investment Analysis & Due Diligence
- Lead financial modelling, valuation and return analysis for each target, and develop the investment thesis and recommendation — acquire, partner, invest or walk away.
- Conduct or coordinate commercial, operational and strategic due diligence — manufacturing capability, distribution reach, brand strength, promoter dependency and working-capital dynamics.
- Assess strategic and cultural fit with Gravity's house-of-brands model, category roadmap and long-term platform strategy.
3. Transaction Structuring & Execution
- Design transaction structures — acquisitions, JVs, minority investments, earn-outs and phased buyouts — that balance control, promoter motivation, tax efficiency and capital efficiency.
- Lead negotiations directly with promoters and shareholders, building trust with traditional family-owned businesses while protecting Gravity's governance and commercial objectives.
- Drive transaction documentation — term sheets, SPAs, shareholder agreements — working with legal, tax and finance advisors, and maintain deal momentum without compromising risk protection.
4. Strategic Alignment & Portfolio Fit
- Evaluate how each target strengthens Gravity's category coverage, supply chain and integrated-platform strategy.
- Present investment theses, structuring options and recommendations to the founders and leadership team.
- Support prioritisation of the broader inorganic-growth roadmap across categories, geographies and deal types.
5. Post-Merger Value Realization
- Define the integration thesis before signing, and build Day-1 / 100-day / first-year plans.
- Own and track synergy targets and value-creation milestones against the original deal thesis; the Head of Finance owns finance-process integration and controls.
- Maintain a disciplined post-closing performance review cadence, feeding lessons learned back into future deal underwriting.
What We Are Looking For
- Qualifications: Chartered Accountant, MBA in Finance/Strategy, or equivalent qualification from a strong institution. Approximately 7–12 years of relevant experience in M&A, investment banking, private equity, corporate development or transaction execution.
- Core experience: Demonstrated end-to-end execution of acquisitions, joint ventures or strategic investments — sourcing through closing — with strong command of valuation, deal structuring, due diligence and transaction documentation.
- Sector exposure: Deep exposure to construction materials, building products, home interiors, furniture and furnishings, retail, distribution, consumer durables or manufacturing — ideally in businesses that have scaled across multiple categories, plants, warehouses, channels or geographies.
- Working style: Direct experience working with founders, promoters and boards; comfortable operating in a startup environment with limited resources, evolving priorities and personal ownership of execution.
- Location: Based in Bengaluru, with willingness to travel extensively to meet promoters and acquisition targets.
- Preferred backgrounds: Corporate-development or M&A roles in acquisition-led businesses, investment banks or boutique M&A firms, private-equity/growth-equity teams with hands-on deal-execution experience, or promoter-led groups with an active M&A track record. A purely advisory profile without transaction-execution ownership, or a pure capital-raising/investor-relations profile without deal-structuring and negotiation experience, is unlikely to fit.
