An NSE Listed Company based in Goregaon, Mumbai is looking for a qualified Company Secretary & Legal Head to manage secretarial, compliance, and end-to-end legal functions.
- Location: Goregaon, Mumbai
- Preference: Immediate Joiners
- Budget - 18-20LPA (Only Local candidates as Face to Face interview mandatory)
- Reporting to MD & CEO
Eligibility Criteria:
- Qualified Company Secretary (CS) + LLB - Both Mandatory
- Minimum 5-8 years of experience, with a listed company
Key Responsibilities:
Secretarial & Listing Compliances
- Ensure compliance with provisions of the Companies Act, 2013, SEBI Regulations, and other applicable laws
A. Handle SEBI (LODR) compliances, including:
- Timely stock exchange filings (NSE)
- Preparation of Corporate Governance Reports
- Handling insider trading compliances (PIT Regulations)
B. Conduct and manage:
- Board Meetings, Committee Meetings, General Meetings
- Drafting of agendas, notices, minutes, and resolutions
- Maintain statutory registers, records, and filings (MCA)
- Liaise with Stock Exchanges, Depositories, RTA, and regulatory authorities
C. Legal (Non-Litigation) - Contracts & Advisory
Drafting, reviewing, vetting, and negotiating a wide range of agreements, including:
- Shareholders Agreements, Joint Venture Agreements
- Service Agreements, Vendor Agreements, NDAs
- Employment Contracts and Consultancy Agreements
- Technology Agreements, Licensing Agreements
D. Provide legal opinions and advisory on:
- Corporate laws, securities laws, and commercial transactions
- Risk mitigation and contract structuring
- Ensure standardization of legal documentation and contract management system
- Support business teams in structuring deals and transactions from a legal perspective
Legal (Litigation & Dispute Management) - Intellectual Property Rights (IPR)
Handle IPR matters, including:
- Trademark, copyright, and patent filings
- Oppositions, objections, renewals, and infringement actions
- Coordinate with IPR consultants/attorneys
- Advise management on protection and commercialization of IP assets
- Monitor and act against unauthorized use or infringement
