Role Summary
The Head of Investor Relations will be Sun Mobility's primary architect and steward of the investor narrative — building and running the IR function from the ground up, managing relationships with existing and prospective investors, and preparing the organization for future fundraising and potential public listing. This is a high-visibility role reporting to the CSO, working in close partnership with the Chairman, Board, and Corporate Finance/Strategy teams. The ideal candidate has personally been part of a company's IPO journey — from readiness through listing and post-listing investor engagement — and brings a strong external network of institutional investors, analysts, and bankers built up over 12–15 years in relevant capital markets roles.
Experience & Qualifications
- 12–15 years of progressive experience in Investor Relations, Corporate Finance, Equity Research, Investment Banking, or Corporate Development.
- Demonstrated, hands-on experience having been part of an IPO process (buy-side, sell-side, or in-house) — ideally in India, though international listing experience (US/UK/SPAC) is also relevant.
- Prior exposure to EV, automotive, auto-ancillary, battery/energy storage, clean energy, or industrial infrastructure sectors is preferable.
- Track record of engaging with institutional investors, sell-side analysts, and rating agencies, ideally in both private and listed-company contexts.
- MBA (Finance) / CA / CFA or equivalent professional qualification preferred.
Skills & Attributes
- Deep understanding of capital markets, financial modeling, valuation frameworks, and SEBI/stock exchange regulatory requirements.
- Exceptional written and verbal communication skills; ability to translate complex operational and financial data into a compelling investor narrative.
- Strong executive presence — comfortable representing the company directly to CXOs, institutional investors, and board members.
- High ownership mindset with the ability to build a function from scratch in a fast-scaling, pre-IPO environment.
- Discretion and judgment in handling sensitive, market-moving information.
Key Responsibilities
Investor Relations Strategy & Execution
- Design and lead Sun Mobility's overall investor relations strategy across existing shareholders (PE/VC/strategic investors) and future public market participants.
- Build the investor communication calendar, including quarterly business updates, board reporting cadence, and formal investor briefings.
- Develop and continuously refine the equity story, investment thesis, and positioning narrative in partnership with the Senior Leadership.
IPO & Capital Markets Readiness
- Lead IPO-readiness workstreams: financial disclosure processes, corporate governance upgrades, DRHP/RHP input, and coordination with merchant bankers, legal counsel, and auditors.
- Draw on prior hands-on IPO experience to advise the leadership team on listing structure, timeline, roadshow strategy, and regulatory (SEBI/stock exchange) requirements.
- Manage the analyst and institutional investor engagement plan through the pre-IPO, roadshow, listing, and post-listing stabilization phases.
- Own coordination with investment banks, legal advisors, registrars, and regulatory bodies through the listing process.
Financial Communications & Reporting
- Own preparation of investor decks, earnings materials, annual reports, and Management Discussion & Analysis (MD&A) content.
- Partner with Finance/Accounting to ensure consistency between statutory disclosures, board materials, and external investor communications.
- Track and benchmark KPIs against comparable EV, battery-swapping, clean energy, and auto-ancillary companies (listed and private) to sharpen positioning.
Stakeholder & Relationship Management
- Serve as a trusted point of contact for existing institutional and strategic investors, fielding queries and coordinating information flow.
- Build and maintain relationships with sell-side analysts, credit rating agencies, proxy advisors, and the broader investment community.
- Support fundraising rounds (private and, eventually, public) with data rooms, management presentations, and due-diligence coordination.
Governance, Compliance & Risk
- Ensure all investor-facing communication complies with applicable securities regulations, insider trading codes, and disclosure norms (SEBI LODR, once listed).
- Maintain a material non-public information (MNPI) protocol and manage blackout periods, board disclosures, and related-party matters.
- Act as company secretary-adjacent liaison for board and investor governance matters, working closely with the Company Secretary and Legal team.
