Job Description: Financial Structuring Manager / Senior Associate
Gurgaon (Onsite)
Role Purpose
As the Financial Structuring Manager / Senior Associate , you will be the core tactical architect behind our capital-raising capabilities and institutional financing frameworks. Working directly alongside the senior leadership team, your mandate is to secure, structure, and optimize the capital stack (both debt and equity-linked instruments) needed to power company’s trade finance operations.
You will design the financial instruments that bridge the demand-side requirements of company's trade value chains (FPOs, processors, traders) with the risk-return expectations of supply-side institutional investors.
Key Responsibilities
1. Capital Structuring & Financial Engineering
• Design and execute innovative financial structures including Asset-Backed Securitization (ABS), Covered Bonds, and Multi-Tranche Co-Lending structures.
• Build, maintain, and stress-test sophisticated financial models to evaluate cash-flow waterfalls, credit enhancement mechanisms (such as FLDG, over-collateralization, and subordinate debt), and pricing mechanics.
• Structure customized equity-linked instruments, mezzanine debt, and structured trade credit facilities that align with company’s long-term capitalization strategy.
2. Debt Syndication & Investor Relations
• Lead the end-to-end debt syndication process. Identify, pitch to, and onboard diverse capital providers including public/private sector banks, top-tier NBFCs, family offices, and Alternative Investment Funds (AIFs).
• Prepare premium-grade institutional placement memoranda, credit pitches, and financial structuring notes for external credit committees and investment boards.
• Manage negotiation processes around term sheets, financial covenants, and structural documentation alongside legal counsel.
3. Regulatory Engineering & Institutional Compliance
• Maintain an advanced, running understanding of the regulatory landscape governing Indian financial ecosystems, including RBI digital lending guidelines, Priority Sector Lending (PSL) mandates, Securitization norms, and co-lending circulars.
• Ensure all designed financial structures are impeccably compliant with regulatory capital limits, tax implications, and institutional risk guidelines of partner banks and NBFCs.
4. Cross-Functional Ecosystem Integration
• Partner closely with the Senior Credit Manager and Senior Product Manager to ensure that the on-ground, cash-flow realities of value chain participants (FPOs, PACS, exporters) are accurately captured within the institutional credit structures.
• Monitor transaction settlement cycles on company to dynamically refine structuring assumptions and maximize capital deployment velocity.
Candidate Profile & Competencies
• The Ideal Background: You must have a proven track record of executing mid-to-large-scale structured finance transactions within institutional platforms or specialized NBFCs (e.g., Vivriti Capital, Northern Arc Capital, or structured finance desks of leading corporate banks).
• Technical Mastery: Exceptional capability in financial engineering, credit analysis, and complex Excel-based cash-flow waterfall modeling. You must know how to price risk and structure credit enhancements from scratch.
• Network & Deal Credibility: An active professional relationship network within the mid-market corporate treasury, NBFC risk management circles, and wholesale debt syndication networks in India.
Required Qualifications & Experience
• Education: Chartered Accountant (CA), CFA Charterholder, or an MBA in Finance from a premier business school (IIMs, ISB, FMS, XLRI).
• Experience: 3 to 6 years of core experience in Structured Finance, Wholesale Debt Syndication, Investment Banking, or Treasury Structuring within a top-tier Bank, NBFC, or specialized fintech platform.
• Domain Expertise: Deep clarity on structural risk-mitigants, specialized lending vehicles (AIFs/SPVs), and the operational mechanics of supply chain finance or agri-commodity assets.
