About the Role
We are looking for a qualified legal professional to serve as our Executive – Commercial Contracts. This is a purely advisory and transactional role — no courtroom, no litigation. You will be the first line of legal intelligence for our commercial operations, working closely with procurement, operations, and senior management to ensure every agreement we sign protects our interests and every risk we face is understood before it materialises.
Key Responsibilities
Contract Review & Drafting
• Review, analyse, and redline purchase orders, service orders, supplier and customer contracts
• Draft new contracts, agreements, MOUs, NDAs, and commercial terms from scratch
• Maintain a standard contract template library tailored to our business needs
• Ensure all documents are legally sound, enforceable, and aligned with company policy
Risk Assessment & Mitigation
• Identify legal, financial, and operational risks in supplier and customer agreements
• Provide written risk summaries and practical mitigation recommendations to management
• Flag unfavourable clauses (liability caps, indemnities, IP ownership, payment terms, termination) before signing
• Build and maintain a contract risk register across the organisation
Negotiation Support
• Participate in and advise during commercial negotiations with suppliers and customers
• Propose and justify alternative clauses that protect company interests without jeopardising relationships
• Liaise with counterpart legal teams and external counsel where needed
Legal Awareness & Compliance
• Create internal awareness programmes and brief teams on contract obligations, risks, and compliance requirements
• Keep the business updated on relevant changes in commercial, contract, and regulatory law
• Advise on statutory requirements applicable to procurement and vendor management
Qualifications & Experience
Required
• Bachelor of Laws (LLB) or equivalent legal qualification; enrolment with the Bar Council or State Bar is not required
• 2-5 years of experience in commercial contracts, procurement law, or in-house legal advisory
• Demonstrated ability to draft, review, and negotiate commercial contracts independently
• Strong understanding of contract law, risk allocation, and commercial terms
• Excellent written communication — able to translate legal complexity into plain-language summaries for non-lawyers
Preferred
• Experience in manufacturing, trading, logistics, or supply chain industries
• Familiarity with the Indian Contract Act, Sale of Goods Act, and MSME / procurement regulations
• Prior exposure to dispute prevention (not resolution) and contract lifecycle management tools
What This Role Is Not
This is a non-litigious, advisory position. The successful candidate will not be required to appear before any court, tribunal, or regulatory authority. The focus is entirely on upstream legal work — preventing problems before they arise, not resolving them after the fact.
