Position Title: Director / Sr. Director - Legal & Compliance
Reports To: VP - Head Legal & Compliance
Team Managed: Team of 3–6 lawyers
Location: Bangalore
Employment Type: Full-time / Permanent
Travel: As required (occasional domestic and international)
Role Overview
Reporting to the VP - Head Legal & Compliance, the Director / Sr. Director - Legal & Compliance is the deputy to the function’s head and its effective second-in-command. The role partners with the VP to shape and run the strategy and day-to-day operations of Digitide's Legal & Compliance function, blending hands-on legal expertise with people leadership. The incumbent owns delivery across commercial contracts, compliance, litigation, data privacy, information security and employment law, leads a team of lawyers, and acts as a trusted advisor to senior leadership. The role carries defined decision-making authority, exercises delegated signing and approval limits, and acts as head of the function in the VP’s absence.
Success in the First 12 Months
• A refreshed contracting framework - standardized templates, playbooks, and ensuring adoption of the new CLM workflow with an aim to measurably improve turnaround times
• A strengthened compliance and governance framework, with clean regulatory filings and no material compliance gaps
• Reduced legal and litigation risk through proactive advisory and disciplined management of external counsel
• A capable, motivated legal team with clear ownership, quality standards and development plans
• Recognition as a trusted, commercially minded partner across business, HR, finance and sales
Key Responsibilities
• Legal & Compliance Strategy
o Partner with the VP - Head Legal & Compliance to define and drive the legal and compliance strategy aligned with business objectives
o Translate strategy into departmental processes, SLAs and operating rhythms, and deputise for the VP as required
o Hold defined decision rights and delegated signing / approval authority, signing off on legal risk within agreed limits and escalating beyond them
• Team & People Leadership
o Lead, mentor and develop a team of 3–6 lawyers, allocating work, setting priorities and building capability
o Set quality standards, review protocols and performance goals across the team
• Commercial Contracts
o Oversee drafting, review and negotiation of complex commercial agreements (BFSI, BPM, IT/ITES, vendor & client contracts)
o Standardise contract templates, playbooks and contracting workflows
• Compliance & Governance
o Ensure compliance with applicable laws, corporate governance norms and internal policies
o Support regulatory filings and board-related legal matters, and strengthen the compliance framework
o Own the anti-bribery and anti-corruption programme and third-party due diligence, aligned to the Prevention of Corruption Act, FCPA and UK Bribery Act
• Litigation & Dispute Management
o Manage litigation, arbitration and dispute resolution, and instruct and manage external counsel
o Track legal risk exposure and drive timely, commercially sound resolution
• Data Privacy, IP & Information Security
o Advise on data protection and privacy (DPDP Act, GDPR) and embed privacy by design practices
o Protect the company’s intellectual property and manage related agreements and filings
o Advise on information security, cyber-incident response and cross-border data transfer obligations, partnering with the information-security team
o Guide responsible-AI and data-governance practices for Digitide’s AI and analytics offerings, and manage open-source and software / SaaS licensing
• Employment Law Advisory
o Advise HR and business leaders on employment and labour law matters, policies and disputes
o Support workforce actions, investigations and separations with sound legal guidance
o Advise on contingent-workforce, moonlighting and gig-model arrangements, and support organisational-change and restructuring people matters
• Legal Operations & External Counsel
o Own the legal-technology stack (contract lifecycle management, matter and knowledge management) and drive automation and business self-service
o Manage external counsel, legal budgets and spend, and maintain MIS and reporting on key legal and compliance metrics
• Stakeholder Management
o Partner with business, HR, finance and sales teams on legal matters
o Act as a trusted advisor to senior leadership
Key Requirements
• Qualification: LLB from a recognised university with enrolment with the Bar Council of India;
• Experience: 10 - 13 years’ post-qualification experience, preferably in IT/ITES, BPM or services industry, with a blend of in-house and law-firm exposure
• Strong hands-on experience across commercial contracts, compliance, litigation, data privacy, information security and employment law
• Minimum 3–4 years leading and mentoring a team of lawyers, with demonstrated people-development outcomes
• Familiarity with listed-company compliance; prior experience in a listed-company environment a plus
