Job Description:
The position is responsible for all legal aspects of land acquisition, development, leasing, sales, and asset management for the group’s commercial real estate portfolio, ensuring full compliance with applicable laws (RERA, Companies Act, stamp and registration, municipal and zoning, SEBI/FEMA where applicable and other provisions). The role provides strategic legal support to senior management on structuring, documentation, negotiations, litigation, and regulatory matters and managing external counsel. The role will also lead the secretarial and corporate governance function for the group, act as Company Secretary for key entities, and be responsible for end‑to‑end compliance under the Companies Act, 2013, SEBI (if applicable), FEMA and real‑estate specific regulations like RERA.The role partners closely with promoters, board, finance, legal and project teams to support capital raising, project SPVs, REIT/InvIT or other structured vehicles as relevant.
Legal Advisory
Develop and implement overall legal strategy aligned with business plans for acquisitions, development, leasing, sales, REIT/InvIT or PE transactions.
• Act as primary legal advisor to the Board, CEO, and business heads on real estate, corporate structuring, and regulatory issues.
• Lead legal aspects of land and asset acquisitions, including title due diligence, search reports, encumbrance checks, and risk mitigation notes.
• Structure and vet development agreements, joint development/joint venture documents, revenue‑share and area‑share models, and collaboration agreements.
• Draft, review, and negotiate all key contracts: agreement to lease, lease deeds, leave & license, sale deeds, construction and PMC contracts, vendor and service agreements, fit‑out and CAM documentation.
• Ensure RERA, zoning, land‑use, fire, environmental, municipal, and other project approvals are legally compliant; monitor ongoing compliance and disclosures.
• Set up and maintain robust legal governance, contract management, and compliance frameworks, including standard templates, checklists, and SOPs.
• Oversee and manage all litigation, arbitration, and disputes (title, tenant, contractor, regulatory, labour), and coordinate with external counsel for strategy and representation.
• Support M&A, PE and debt transactions: legal due diligence, transaction structuring, term sheets, SPA/SHAs, shareholder agreements, security documents, and exit mechanisms. • Advise on corporate legal matters: board resolutions, inter‑company agreements, PoAs, secretarial compliances in coordination with CS and finance teams.
• Monitor legal and regulatory developments in RERA, Companies Act, stamp duty, registration, SEBI, FEMA, and relevant tax provisions affecting real estate.
• Lead, mentor, and develop the in‑house legal team; manage legal budgets and vendor relationships with law firms and consultants.
• Conduct title verification, legal due diligence, and draft real estate documents like sale deeds, JDAs, MOUs, leases, and powers of attorney, handle property registrations and project approvals as per relevant statutes.
• Manage litigation, arbitrations, NCLT matters, and coordinate external counsel for property matters; liaise with the government for NOCs and land records.
• Advice and assist senior management of the Company in all legal matters for dealing with regulators.
Drafting and vetting of contracts, agreements, and business transactions.
• Ensure compliance with corporate governance norms and various statutory requirements.
• Preparation & execution of legal documentation
• Ensuring timely compliance of all legal matters at group level and sharing timely legal dashboard with senior management.
Secretarial Matters
• Oversee secretarial compliance including board meeting / AGM, MCA e-forms, statutory registers, annual returns, BEN filings, RBI filings, NBFC compliances and audits for group companies.
• Ensure timely compliance with applicable provisions of Company law, RBI, FEMA, Corporate laws & allied laws. • Dealing with various authorities at ROC, RBI, Bankers & external consultant & advisors.
• Advice and assist senior management of the company in all secretarial matters for dealing with regulators.
• Ensuring timely compliance of all secretarial matters at group level and sharing timely secretarial dashboard with senior management.
• Timely preparation and review of secretarial records and statutory registers.
• Prepare/Review necessary forms and returns with MCA and other authorities.
• Organize and manage Board Meetings, Annual General Meetings (AGM), and Committee Meetings.
• Conduct Secretarial Audit and prepare compliance reports
• Ensure timely compliance to avoid penalties and litigation.
• Providing Various MIS/data related to the secretarial department, as per requisition, to other internal and external departments.
Risk & Regulatory Oversight
• Identify potential compliance breaches and legal risks and suggest a proactive action plan.
• Advise senior management and board committees on regulatory issues.
• Act as a liaison with regulatory authorities and government agencies.
Compliance Management
• Develop and implement a robust compliance framework.
• Develop internal policies for secretarial & legal department and ensure its adherence.
• Conduct regular compliance audits and risk assessments and submit periodic exception report to senior management.
• Stay updated on amendment in laws, regulations, and industry standards and ensure group is complied with such changes.
Policy Development & Training
• Prepare and update compliance policies and procedures from time to time.
• Organize training sessions and awareness programs for internal team.
• Promote a culture of ethics and compliance throughout the organization.
Other Details Education:
B. Com / M. Com, CS & LLB Experience: 15–20 years, with at least 8 years in senior compliance roles within real estate -Desired Skills · Deep understanding of Indian real estate laws and compliance frameworks · Strong leadership and communication skills · Analytical thinking and ethical judgment · Experience with regulatory audits and legal documentation .
