CS & Legal Manager

Role Overview
Rassense Private Limited is seeking a highly capable CS & Legal Manager to lead the company’s corporate secretarial, legal, contractual, and regulatory compliance functions. The role is critical to ensuring robust governance, risk management, and legal protection across Rassense’s large-scale industrial catering and food services operations.
The incumbent will act as the central legal and compliance authority, coordinating with external counsels, company secretaries, auditors, banks, and enterprise clients while supporting strategic initiatives such as restructuring and IPO readiness.
Key Roles & Responsibilities
Corporate Secretarial & Statutory Compliance
- Ensure full compliance under the Companies Act, 2013 and related corporate laws.
- Prepare, file, and track all ROC forms, returns, and statutory filings.
- Organize and conduct Board Meetings, General Meetings, and maintain statutory registers and records.
- Support corporate restructuring, due diligence, and IPO-readiness initiatives in coordination with CS, auditors, and advisors.
Legal Governance & Policy Framework
- Draft, implement, and periodically review company policies (Code of Conduct, POSH, Whistleblower, IT/Data, etc.).
- Maintain a statutory and regulatory compliance tracker across corporate, food safety, labour, and local laws.
Contract Management & Commercial Agreements
- Draft, review, validate, and negotiate all customer, vendor, service, rental, and accommodation agreements.
- Lead vetting of long-term catering/service contracts with OEMs and enterprise clients.
- Highlight and negotiate key clauses on indemnity, limitation of liability, termination, payment security, and risk allocation.
- Maintain a Contract Management System with proper version control and milestone tracking.
Food, Packaging & Labeling Compliance
- Ensure compliance with FSSAI regulations across menus, packaging, food operations, and branding.
- Review and approve product artworks, labels, menus, and promotional content for regulatory accuracy.
- Validate compliance under the Legal Metrology Act (MRP, quantity, declarations, and format).
Advertising & Marketing Compliance
- Vet all advertising, branding, digital, and on-site promotional materials before release.
- Draft and review Terms & Conditions for offers, promotions, and brand campaigns.
- Act as legal sign-off authority for all external communications.
Banking, Finance & Security Documentation
- Support the CFO in reviewing/drafting escrow agreements, working capital facility documents, guarantees, and security documentation.
- Coordinate with banks, lenders, and financial institutions on legal documentation.
Litigation, Dispute Resolution & External Liaison
- Coordinate and manage cheque bounce, commercial, labour, and operational disputes.
- Liaise with external legal counsel and appear as Management Representative in courts/tribunals when required.
- Provide legal advice to internal stakeholders on business, operational, and risk matters.
Stakeholder Coordination
- Act as the central liaison between internal teams, customers, vendors, CS firms, auditors, and external legal advisors.
- Support negotiations and ensure consistent legal positioning with enterprise clients.
Qualification & Experience
- Qualified Company Secretary (CS) and Bachelor of Laws (LLB).
- 4–6 years of experience in legal, contract management, and CS compliance roles.
- Strong knowledge of contract law, corporate secretarial practices, and regulatory compliance.
- Experience in FMCG, food services, hospitality, manufacturing, or regulated industries preferred.
- Excellent drafting, negotiation, and stakeholder management skills.
- Proficiency in legal documentation and compliance management tools.
- Highly detail-oriented with strong analytical and problem-solving ability.
- Ability to work independently and manage multiple priorities across business functions.
