Role Overview
Cogneesol is seeking a
Corporate Counsel – Commercial Contracting to support the company’s growing global services business. The role will be responsible for
structuring, drafting, reviewing, and negotiating client and partner contracts across BPM, consulting, and technology-enabled services.
This position sits at the intersection of
sales, delivery, and legal, ensuring that deals are
commercially viable, legally sound, and operationally executable.
The ideal candidate understands the
commercial dynamics of services businesses, not just the legal language of contracts.
Key Responsibilities
- Commercial Contracting
- Draft, review, and negotiate Master Service Agreements (MSAs), Statements of Work (SOWs), NDAs, and change orders
- Support contracting for services, technology partnerships, consulting engagements, and outsourcing agreements
- Ensure contracts align with Cogneesol’s commercial policies and risk appetite
- Sales Deal Support
- Work closely with Sales, Solution Leads, and Delivery teams during deal structuring
- Identify legal and commercial risks early in the sales cycle
- Provide guidance on pricing structures, liability caps, indemnities, and service commitments
- Risk Management
- Develop and maintain standard contract templates and playbooks
- Establish contracting guardrails and fallback clauses
- Review non-standard client terms and procurement templates
- Partner & Vendor Agreements
- Structure agreements with technology partners, consulting partners, and subcontractors
- Support teaming agreements, reseller agreements, and referral partnerships
- Governance & Compliance
- Ensure contracts comply with relevant international regulations (GDPR, data protection, outsourcing regulations)
- Maintain contract repository and support contract lifecycle management
- Support internal compliance on IP protection, confidentiality, and data security obligations
- Cross-functional Collaboration

to ensure
contracts reflect operational realities and commercial objectives.

Qualifications
Education
- LLB / LLM from a recognized law school
- Qualified to practice law in India
Experience
- 3-4 years of experience in commercial contracting
- Experience in IT services, BPM, outsourcing, or consulting companies preferred
- Experience negotiating contracts with US / UK clients is highly desirable
