Scope:
The Legal – Contracts Manager is responsible for managing the entire contract lifecycle, from clients’ request for proposal to contract close-out. The Legal – Contracts Manager also oversees the subcontract management process, ensuring budget and commercial compliance, contractual compliance, performance evaluation, and close-out of subcontractors.
Responsibilities and Duties:
• Supporting design and implementation of a contract management system that covers all stages of the contract lifecycle, such as proposal development, contract negotiation, contract administration, contract performance, contract change management, and contract close-out.
• Supporting design and implementation of a subcontract management system that ensures effective selection, evaluation, negotiation, monitoring, and close-out of subcontractors, in accordance with the company’s policies and procedures, and the clients’ requirements.
• Conduct due diligence and prepare reports for clients and subcontractors, to identify and mitigate potential legal, financial, and operational risks and liabilities.
• Review, request for clarification, negotiate, and approve clients’ queries, expressions of interest (EOIs), memoranda of understanding (MOUs), requests for quotation (RFQs), requests for proposal (RFPs), tenders, terms and conditions (Ts & Cs), agreements, and variation orders (Vos) in accordance with the acceptance standards and policies of the Company.
• Review, request for clarification, negotiate, and approve subcontractors’ MOUs, Ts & Cs, and agreements, ensuring compliance with the company’s standards, policies, and procedures, and the clients’ specifications, scope, and schedule.
• Draft, negotiate, and finalize MOUs, Ts & Cs, agreements, and variation orders with counterparties for the provision of consultancy and other services/products in accordance with the standards and policies of the Company.
• Prepare queries, EOIs, MOUs, RFQs, RFPs, tenders, Ts & Cs, purchase orders, agreements, and variation orders, for subcontractors ensuring compliance with the company’s standards, policies, and procedures, and the clients’ specifications, scope, and schedule.
• Draft, negotiate, and finalize MOUs, Ts & Cs, purchase orders, and agreements with subcontractors ensuring compliance with the company’s standards, policies, and procedures, and the clients’ specifications, scope, and schedule.
• Participate and provide input to meetings with clients, subcontractors, and other stakeholders, and communicate effectively on contract-related issues and updates.
• Ensure compliance with applicable laws, regulations, and contractual undertakings/obligations, and advise on any changes or updates that may affect the company’s contractual rights and obligations.
• Maintain good administration, follow-ups, centralized record keeping and archiving, and risk register of all company contractual documents, and ensure accessibility, confidentiality and security of information.

Qualifications:
• Education: Minimum Bachelor’s in Law.
Knowledge and Experience:
• Minimum of 7 years of relevant experience in contracts/subcontracts, preferably in the consultancy or related industry.
• Excellent logical analysis, reasoning and deduction abilities.
• Excellent knowledge of legal practices related to contracts, disputes, and compliance including an understanding of FIDIC White Book and energy industry EPC/engineering contract conditions.
• Good understanding of the English law and civil law.
• Strong drafting, negotiation, and communication skills, both written and verbal.
• High level of professionalism, integrity, and ethics.
• Excellent organization and time management skills.

• High and proven negotiation and resolution skills.
• A team player, strong sense of responsibility, and proactive.
Computer Skills:
• Proficient in Adobe Acrobat Reader/DC, Microsoft Word and Excel.
