Position Summary
IT by Design (ITBD) is seeking a highly analytical and commercially minded Senior Contract Administrator – Commercial Risk & Governance to serve as the internal gatekeeper for all client and vendor contracts.
This role will review, redline, and assess risk across MSAs, Statements of Work (SoWs), NDAs, SaaS agreements, and related legal documentation before executive approval. The objective is to reduce reliance on external counsel, protect EBITDA and gross margins, accelerate contract turnaround, mitigate legal and financial exposure, and strengthen internal contract governance.
This role is a strategic commercial risk position supporting ITBD’s US-based operations across MSP, SaaS (Team GPS), and global service delivery models.
Key Responsibilities & Qualifications
Contract Review & Redlining:
• Conduct detailed review of all inbound and outbound MSAs, SoWs, NDAs, vendor agreements, and amendments.
• Identify deviations from ITBD’s standard contractual language.
• Redline and propose protective fallback language aligned with company risk tolerance.
• Review scope language to prevent margin leakage and scope creep.
Risk Identification & Mitigation:
• Assess contractual exposure in limitation of liability, indemnification, IP ownership, data protection, insurance requirements, termination and renewal clauses, and governing law.
• Categorize risk levels (low / moderate / high) and provide executive summaries with recommended actions.
• Escalate only material risk items requiring leadership or external counsel involvement.
Commercial & Financial Impact Analysis:
• Evaluate how contract terms affect gross margin, EBITDA, resource allocation, and delivery obligations.
• Validate pricing escalators, termination fees, renewal terms, and payment structures.
• Ensure contract language aligns with approved commercial models.
Governance & Process Development:
• Develop and maintain contract review checklist, clause fallback matrix, risk categorization framework, and internal contract playbook.
• Standardize contract workflows to reduce cycle time.
• Track and report on contract turnaround metrics and risk trends.
Cross-Functional Collaboration:
• Work closely with Sales leadership, Finance, Operations, Implementation teams, and Executive leadership.
• Provide clear written summaries of contract risks and recommended actions.
• Support negotiation strategy with data-driven insights.
External Counsel Optimization:
• Act as first-line reviewer before engaging outside counsel.
• Prepare structured risk briefs when escalation is required.
• Reduce external legal dependency by strengthening internal expertise.
Required Qualifications:
• Bachelor’s degree in law, Business, Finance, or related field.
• 5–8+ years of experience reviewing commercial contracts.
• Experience with US-governed MSAs and SoWs.
• Strong background in technology services or SaaS agreements.
• Demonstrated ability to redline and interpret legal language.
•Strong understanding of commercial risk principles. • Advanced Excel skills for financial validation. • Excellent written communication and executive summary skills.
Preferred Qualifications:
• LLB or equivalent legal qualification strongly preferred.
• Experience supporting US-based companies from India.
• Exposure to MSP, SaaS, or recurring revenue business models.
• Familiarity with US commercial law frameworks.
• Experience building contract governance systems.
