About The Role
The Consultant/Senior Consultant- Legal & Company Secretary will play a critical role in ensuring the firm’s operations adhere to statutory, regulatory, and internal governance requirements. This role combines corporate secretarial responsibilities with legal advisory and compliance functions collaborating with leadership, cross-functional teams, and external stakeholders to ensure seamless governance, mitigate risks, and support strategic business decisions- with the precision and professionalism expected of a Big 4 environment.
Key Responsibilities
Corporate Secretarial
- Act as Company Secretary for the firm and its group entities, ensuring compliance with Companies Act, 2013, SEBI, MCA, and other applicable laws.
- Organize, prepare agendas for, and accurately record Board, Committee, and General Meetings, ensuring statutory registers and records are maintained.
- Routine secretarial work like preparation of Directors Report, Annual Return, Notice, Agenda and Minutes
- Filing of Legal Documents/Forms/Returns/Reports etc.
- Draft, review, and file all statutory returns, resolutions, and event-based filings. Director’s and auditors appointments and other compliances
- Liaise with regulators, auditors, and legal advisors to address compliance requirements.
Legal & Contract Management
- Act as firm’s legal counsel
- Draft, Redline, review, and negotiate commercial contracts, client engagement letters, MSA, SOW, MOU, Lease agreements, vendor agreements, employee agreements and NDAs to safeguard the firm’s interests.
- Provide legal advisory support on business transactions, data protection, intellectual property, and employment law matters. Knowledge of undertaking Legal Due Diligence
- Ensure risk mitigation through effective contract risk assessment and compliance clauses for business and employment standpoint.
- Support dispute resolution and litigation management, coordinating with external counsel when required. External liaison with various departments as & when required.
- Management of contracts with updated renewal & expiry timelines and implementation of new rules and regulations.
Compliance & Risk
- Lead compliance monitoring and reporting across multiple business units, ensuring adherence to internal policies and statutory requirements.
- Maintain compliance calendars, monitor due dates, and escalate issues proactively.
Strategic Advisory
- Partner with business leaders to provide proactive, commercially sound legal and governance advice on strategic initiatives, partnerships, and expansion.
- Contribute to policy development, regulatory impact assessments, and best practice adoption.
