About the role

Job Purpose Governance professional is responsible for managing and coordinating the Governance activities of the organization to ensure that all Governance requirements pertaining to ADG's operations are addressed in a timely manner. Key Roles & Responsibilities Strategy Formulation Formulate ADG's strategy in collaboration with the ADG Board and ensure the translation of the overall strategic direction from the board into the business plan. Oversee the implementation of strategies that generate resources and returns to meet commitments to all stakeholders. Policies Development & Implementation Develop Policies & Processes for the GRC Department in line with ADG's standards and other applicable governance and regulations. Ensure the availability of Policies & Processes and Delegation of Authority transactions for each function at ADG. Ensure the governance of ADG's Functions to the established policies, procedures & DOA. Operational Activities Develop the Corporate Governance Model based on leading practice and the needs of the Group's shareholders. Monitor regulatory developments and assess their impact on the organization's operations. Establish and maintain policies and procedures to ensure compliance with applicable laws and regulations. Work closely with Finance and HR on all customer and employee-related disputes and provide guidance in developing appropriate contracts and policies. Review all governance documentation pertaining to ADG's regional such as contracts and agreements. Collaborate with senior leaders to set the strategic direction for governance framework management aligned with business objectives Functional charter of the Corporate Governance Structure (outlining the areas of focus, roles, protocols), and development of specialized committees (for example remuneration and nomination committee). Perform ad-hoc and other duties related to the job as assigned by the Direct Manager Corporate Governance Framework Support the implementation of governance frameworks, including board policies, codes of conduct, and ethical standards. Facilitate communication between management and the board regarding governance issues. Continuous Improvement Recommend continuous process improvement strategies for business processes based on governance findings. Implement corrective actions and update policies accordingly. Governance Reports Maintain accurate records of governance activities, decisions, and compliance documentation. Ensure proper documentation for legal and regulatory purposes.
