About Apartment Eleven Eleven
Apartment Eleven Eleven is building a Category I Alternative Investment Fund platform focused on backing high-integrity, ambitious Indian founders building in areas such as defence, healthcare and infrastructure technology.
The firm’s SEBI Category I AIF licence is currently under process. Apartment Eleven Eleven is being built as a ₹350 crore fund with a ₹150 crore green shoe option, subject to applicable regulatory approvals, fund documentation, and internal governance requirements.
As we build our institutional investment platform, we are looking to strengthen our compliance, governance, and fund operations framework from the outset. We are looking for a Compliance Officer who can help create and maintain a strong regulatory foundation for the firm’s proposed Category I AIF operations.
Role Overview
The Compliance Officer will be responsible for supporting the development, implementation, and ongoing monitoring of Apartment Eleven Eleven’s compliance framework.
This role will focus on compliance readiness, regulatory implementation, fund governance, investor documentation, internal policies, and coordination with external advisors. The selected candidate will work closely with the Investment Manager, Sponsor, Trustee, legal counsel, auditors, fund administrator, merchant banker, RTA, tax advisors, and other service providers.
This is a high-ownership role for someone who understands SEBI-regulated fund structures and can operate with precision, discretion, and strong judgment.
Key Responsibilities1. Regulatory Compliance and AIF Readiness
- Develop and maintain a compliance framework aligned with SEBI Alternative Investment Funds Regulations, 2012, applicable SEBI circulars, and other relevant regulatory requirements.
- Support the firm in preparing for and maintaining readiness for its proposed Category I AIF operations.
- Track regulatory developments applicable to AIFs, investment managers, sponsors, trustees, key management personnel, and fund operations.
- Create and manage a compliance calendar covering regulatory filings, internal reviews, investor reporting, trustee reporting, audit requirements, and other time-bound obligations.
- Support responses, submissions, documentation, and correspondence with SEBI, trustees, advisors, and other relevant stakeholders.
- Maintain records and evidence of compliance for all key regulatory and governance processes.
2. Fund Governance and Internal Controls
- Assist in building governance processes for the proposed AIF structure, including investment approvals, trustee oversight, investor onboarding, capital calls, distributions, valuation, reporting, and record-keeping.
- Review fund actions, investment proposals, and internal approvals from a compliance and documentation perspective.
- Support the creation and maintenance of internal controls for investment execution, portfolio monitoring, related-party transactions, conflicts of interest, and investor communications.
- Ensure that fund activities are aligned with the Private Placement Memorandum, contribution agreements, trust deed, investment management agreement, and other fund documents once finalized.
- Maintain proper documentation for Investment Committee meetings, trustee communications, internal approvals, and compliance confirmations.
- Escalate potential compliance gaps, regulatory risks, conflicts of interest, or process deviations to senior management in a timely manner.
3. PPM, Fund Documents, and Investor Documentation
- Support the review and maintenance of the Private Placement Memorandum, contribution agreements, investor onboarding documents, side letters, and other fund-related documentation.
- Coordinate with legal counsel, merchant bankers, and fund administrators to ensure consistency across fund documents and investor communication.
- Assist in ensuring that disclosures made to investors are accurate, complete, and aligned with applicable regulatory requirements.
- Support investor onboarding processes, including KYC, AML, beneficial ownership checks, documentation review, and internal approval workflows.
- Maintain investor records, commitment details, drawdown documentation, unit issuance records, and capital account-related information in coordination with the fund administrator.
- Ensure that material changes, investor notices, and compliance-related communications are properly documented and routed through the correct approval process.
4. KYC, AML, and Investor Onboarding
- Build and maintain KYC and AML processes for investor onboarding and ongoing monitoring.
- Coordinate with fund administrators, RTAs, and other service providers for investor due diligence, documentation, and record maintenance.
- Review investor eligibility, contribution documentation, beneficial ownership information, and source-of-funds documentation where applicable.
- Support the creation of internal SOPs for onboarding domestic investors, institutional investors, family offices, and other eligible investors.
- Maintain clear audit trails for investor onboarding, approval, rejection, enhanced due diligence, and periodic review processes.
5. Policies, SOPs, and Compliance Frameworks
- Draft, implement, and periodically update internal policies, such as:
- KYC and AML policy
- Conflict of interest policy
- Related-party transaction policy
- Investment approval SOP
- Regulatory filing SOP
- Create internal checklists and workflows for compliance sign-off across fund operations, investment decisions, and investor communications.
- Support the development of a compliance culture across the firm.
6. Reporting, Audit, and Coordination
- Coordinate with auditors, tax advisors, legal counsel, trustees, merchant bankers, fund administrators, and other external advisors for compliance and reporting matters.
- Support annual audits, internal reviews, PPM-related reviews, trustee reviews, and regulatory inspections, if applicable.
- Maintain organized records of regulatory correspondence, investor communications, filings, approvals, minutes, and compliance certifications.
- Support the preparation of reports relating to fund operations, investment limits, investor records, portfolio reporting, and governance requirements.
7. Marketing, Communications, and Public Disclosure Review
Review marketing material, website content, investor decks, public communications, and recruitment-facing material from a compliance perspective.
Ensure that external communication does not misrepresent the firm’s regulatory status, fund status, performance, approvals, or investment activity.
Ensure that the firm’s licence status is accurately described as “SEBI Category I AIF licence currently under process” until registration is formally granted.
Help maintain consistency between public-facing communication, investor-facing documentation, and regulatory filings.
Advise internal teams on appropriate language for fund-related announcements, investor communication, and brand collateral.
8. Risk, Ethics, and Investor Protection
- Promote a strong culture of regulatory discipline, fiduciary responsibility, and investor protection.
- Identify potential conflicts of interest and support the implementation of mitigation measures.
- Ensure sensitive information, investor data, and portfolio company information are handled with confidentiality and care.
- Support the firm in building a long-term institutional standard of governance.
Required Qualifications
- Bachelor’s degree in law, commerce, finance, economics, business, company secretaryship, or a related field.
- CS, CA, LLB, MBA Finance or equivalent professional qualification preferred.
- Prior experience in compliance, legal, fund operations, regulatory reporting, or governance.
- Experience with an AIF, PMS, venture capital fund, private equity fund, asset management company, trustee company, merchant banker, law firm, fund administrator, or financial services firm will be preferred.
- Working knowledge of SEBI AIF Regulations, fund documentation, KYC, AML, investor onboarding, regulatory filings, and fund governance.
Preferred Experience
- Experience with Category I AIFs, venture capital funds, or early-stage investment platforms.
- Familiarity with trust-based AIF structures, investment management agreements, contribution agreements, PPMs, and side letters.
- Experience coordinating with trustees, merchant bankers, RTAs, fund administrators, auditors, legal advisors, and tax advisors.
- Understanding of FEMA, Companies Act, PMLA, income tax, stamp duty, and other laws relevant to fund operations will be an advantage.
- Experience creating compliance calendars, internal policies, SOPs, regulatory checklists, and compliance trackers.
